TERMS AND CONDITIONS - RIDER
INTRODUCTION:
This document is an electronic record in terms of Information Technology Act, 2000 and rules thereunder as applicable and the provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures. PLEASE ENSURE THAT YOU READ AND UNDERSTAND ALL THESE TERMS & CONDITIONS BEFORE YOU USE THE SERVICE OF THE PLATFORM, AS YOU SHALL BE BOUND BY ALL THE TERMS & CONDITIONS CONTAINED HEREIN upon clicking on the "I ACCEPT" button. If You do not accept any of the Terms & Conditions, then please do not use the Platform or avail any of the services being provided therein. Your engagement with Ryedr to use the services of the Platform are subject to your acceptance of these Terms & Conditions. Ryedr reserves the right, at its sole discretion, to change, modify, add or remove these Terms & Conditions, in part or in whole, at any time, without prior notice to You. It is your responsibility and duty to check the Terms & Conditions periodically for changes. Your continued use of the Platform following the posting of changes will mean that You accept and agree to the changes. As long as You comply with these Terms & Conditions, Ryedr grants You a personal, non-exclusive, non-transferable, limited privilege to enter and use the service on the Platform.
1. DEFINITIONS
All of the defined and capitalized terms in these Terms & Conditions for Rider/ User (T&C) will have the meaning assigned to them herein below:
2. SCOPE OF SERVICES AND FARES
2.1. You will be required to pay charges for the Services used by you directly to the Captain. The rates of the Services and any cancellation fee, if applicable, will be notified on the Platform.
2.2. The Agreement is subject to all prevailing statutory taxes, duties, fees, charges and/or costs, however denominated, as may be in force and in connection with any future taxes that may be introduced at any point of time.
2.3. Ryedr shall display an estimated ride fare range based on market rates that apply to the route and approximate distance on the Platform which you may use as guidance for you to quote or accept the ride fare. However, Ryedr makes no guarantee or warranty with respect to the accuracy or reliability of the ride fare displayed and is merely provided for guidance.
2.4. Ryedr provides the following services and fares:
2.4.1. DAILY RIDE:
2.4.1.1. Point-to-point rides within a given city.
2.4.1.2. Ryedr shall charge Convenience Fee or Access Fee for the Service which shall be determined and amended at the sole and absolute discretion of Ryedr. The Convenience Fee or Access Fee (if any) shall be payable by you to Ryedr and shall be informed to you before you begin your ride.
2.4.1.3. Total ride fee may comprise one or more of the following components that shall be levied to the ride based on various parameters including but not limited to distance travelled, time taken for the ride, city in which the ride is hailed, time of the day, availability of Captains nearby –
2.4.1.3.1. Minimum fare
2.4.1.3.2. Base fare
2.4.1.3.3. Per kilometer fare (based on the total distance of the ride)
2.4.1.3.4. Per minute charges (based on the time taken to complete the ride)
2.4.1.3.5. Surge charges (when applicable, additional charge applied in the situation where the demand is more than the available supply.)
2.4.1.3.6. Past dues (if any);
3. USER ELIGIBILITY
In relation to your use and access of the Platform or for availing the Services, you represent, warrant, and provide the following undertakings:
3.1. For the purposes of registration/creation of an Account on the Platform, you confirm that you are 18 years of age.
3.2. The Service is not available for use by persons under the age of 18.
3.3. For the purpose of registration you shall provide the present, valid, true and accurate name, email ID, phone number and such other Information as may be required by Ryedr from the User from time to time for registration on the Application.
3.4. You are not restricted by any legal, regulatory, judicial, quasi-judicial or other authority, to access the Platform or avail the Services, including to enter into transactions contemplated for availing the Services.
3.5. We reserve the right to terminate, suspend, or limit access to the Services in the event we are unable to obtain or verify this Information. If you create more than one account per User, Ryedr has the right to terminate such accounts.
3.6. When you provide any Information to Ryedr, you agree to provide only true, accurate, current and complete Information. You understand and acknowledge that the responsibility to provide correct Information, including the contact information, bank account details, etc., as required in connection with the Services, lies solely with you. You must take all caution to ensure that there are no mistakes and errors in the Information you provide.
4. BOOKING AND RIDE USAGE
4.1. You must register on the Platform and create an account on the Platform ("Your Account") by providing accurate Information as sought during the registration process. You are solely responsible for maintaining the confidentiality of your credentials (username, password, etc.) provided upon registration and the Company is not liable for any loss you may incur as a result of someone else using Your Account, either with or without your knowledge.
4.2. Your Account cannot be transferred, assigned, or sold to a third party.
4.3. You agree to accept responsibility for all activities that occur in or from your Account. You agree to establish reasonable security procedures and controls to limit access to the password or other identifying information of your Account to unauthorized individuals, which includes choosing passwords and other credentials in a manner that will protect the security of your Information. Your credentials include your username and password to Your Account and to any third-party account you have used to login to Your Account.
4.4. You agree to inform us immediately if you have any reason to believe that your login credentials have become known to anyone else, or if the password or Your Account is being or is likely to be used in any unauthorized manner.
4.5. Ryedr will not be liable for any breach of security or unauthorized use of Your Account.
4.6. Ryedr shall, upon receiving the booking request from You, proceed to confirm or decline the booking based on the availability of Captains at the pickup time and location, which shall be informed to You vide the application or SMS or email. In the event the booking is confirmed, You shall check the booking details including but not limited to pick up time and pick up place, and if there is incorrect detail, the same needs to be informed to us immediately.
4.7. Upon confirmation of booking, a One Time Pin (OTP) shall be provided on the Application, which shall be further shared by the User with the Captain. In the event that the User does not provide OTP to the Captain, Captain shall not be responsible for not starting on the services.
4.8. For the avoidance of doubt, it is clarified that the Company itself does not provide the Transportation Services and only facilitates these services through the Platform. It is the Captain who is responsible for rendering the Transportation Services to you.
4.9. At the end of the trip for the Transportation Services, the Company will facilitate for you to receive a copy of the invoice from the Company on your registered e-mail account with the Company.
5. CANCELLATION POLICY AND REFUNDS
Ryedr may levy extra cancellation charges in connection with the services in the following events:
5.1. User cancellation
5.1.1. If the User cancels before Captain is assigned, no charges shall be applicable.
5.1.2. If the User cancels after Captain is assigned or route: ₹50 or 10% of the estimated fare, whichever is higher fee shall be applicable
5.1.3. If the User cancels after OTP is shared or Captain reaches location: a cancellation fee of ₹50 or 10% of the estimated fare, whichever is higher fee or more depending on ride type, shall be applicable.
5.2. No-show cancellation
5.2.1. If the User fails to show up and provide the OTP to the Captain within 10 minutes of Captain arrival at the pickup location, it is considered a no-show and applicable cancellation fee applies.
5.3. Ryedr cancellation
5.3.1. Ryedr may cancel a ride if no Captain is available or in case of emergency. No charges shall be applied to the Customer in this case.
5.3.2. Refund requests must be raised within 72 hours of the ride.
5.3.3. Refunds for overcharges or failed rides will be processed within 7-10 working days.
6. RATINGS AND FEEDBACK
6.1. Users may rate Captains and provide feedback on the Services through the Ryedr Platform.
6.2. Repeated low ratings, abusive, or fraudulent use of the feedback system may result in account restrictions, suspension, or termination at the discretion of Ryedr.
7. USER CONDUCT
In relation to your use and access of the Platform or for availing the Services, you represent, warrant, and provide the following undertakings:
7.1. You will treat the Captain with respect and not cause damage to their Vehicle or engage in any unlawful, threatening, harassing, abusive behaviour or activity whilst using their Vehicle.
7.2. You will not impair the proper operation of the Platform and you will not use any device, software, routine, file or other tool or technology, which includes any viruses, trojan horses, worms, time bombs or cancelbots, intended to damage, interfere with or affect functionality or operation of the Platform or the Services, to surreptitiously intercept or expropriate any system, data or information in connection with the Services or as hosted/available on the Platform, or to affect the operation of any other websites or the internet;
7.3. You will not indulge in any fraudulent activities including, but not limited to intentionally falsifying Information, create dummy/duplicate accounts for fraudulent purposes, manipulate the settings on a phone/Device to prevent or impair the proper functioning of the Platform, abuse promotions and/or not use them for their intended purpose, dispute charges for fraudulent or illegitimate reasons, falsify documents, records, or other data for fraudulent purposes, or any other activity which is in contravention of applicable laws, is in violation of these Terms, or is not intended or permitted under these Terms; and
7.4. You will use the Services for lawful purposes and in compliance with applicable laws, and refrain from doing anything which we reasonably believe to be disreputable or capable of damaging our reputation and will comply with all applicable laws of India.
7.5. We will not be responsible to verify the accuracy of the Information provided by you.
7.6. We reserve the right to terminate, suspend, or limit access to the Services in the event of any violation.
8. SAFETY & SUPPORT
8.1. All transportation services are GPS-tracked in real-time.
8.2. SOS panic button is available for emergencies and maybe be used via the Application.
8.3. Masked calling system is used, where in the phone number of the User is not visible to the Captain, for privacy.
8.4. Any opinions, issues, or suggestion regarding the Platform and / or Services can be provided / resolved by reaching out to the customer care number or email mentioned below.

9. LIMITATION OF LIABILITY
9.1. Ryedr bears no responsibility and liability for delays and losses suffered by You or caused to You as a consequence of the breakdown of the Vehicle, and/or traffic and/or weather and/or the substitute Vehicle. You must book Your Ride after taking into account the check-in time, traffic and weather conditions, political rallies, natural calamities, traffic barricades, car breakdowns and other unexpected delays.
9.2. Ryedr shall not be liable for You missing trains/flights/events or delays etc. as the Service is dependent on many factors not in Ryedr's control.
9.3. Ryedr shall not be liable for any damages resulting from the use of or inability to use the Platform, including damages caused by wrong usage of the Platform, error in call center number, network issues, malware, viruses or any incorrectness or incompleteness of the Information or the or Application.
9.4. You shall take full responsibility of Your items and luggage. In case of lost items inside the Vehicle during the journey, Ryedr will try to locate the items on a "best-effort" basis but is not responsible for the same in case of loss or damage to the same.
9.5. If You leave any goods in the Vehicle or have any complaint in respect of the Services or the use of the Vehicle, you have to inform Ryedr of the same in writing within 24 (twenty-four) hours of using the Vehicle or the Services of Ryedr.
9.6. The Company is not responsible for the behaviour, actions, or inactions of Captain or quality of Vehicle which may be provided to you. Any contract for the provision of Vehicle and/or for the Services is exclusively between you and the Captain and the Company is not a party to the same.
10. TERMS OF TERMINATION
10.1. Ryedr is entitled to terminate your access to the Platform at all times and with immediate effect (by disabling your use of the Platform and the Service) if you: (a) violate or breach any term of these Terms, or (b) in the opinion of the Company, misuse of the Platform or the Service, or (c) if there is reason to believe that the account is used fraudulently.
10.2. The Company's failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of the Company's rights.
11. AMENDMENTS
11.1. The Company may change these Terms from time to time. If the Company makes any changes to these Terms that it deems to be material, the Company will make a reasonable effort to inform you of such changes, but it is your responsibility to review the Terms posted to the Platform from time to time to see if it has been changed.
11.2. The updated version of these Terms will supersede the previous version and such updated version will be immediately effective upon being posted on the Platform. The continued use of the Platform following the notification of modification of the Terms or after being updated on the Platform will be construed to mean the acceptance of the said modified Terms.
12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1. This Agreement is governed by the laws of India.
12.2. All disputes arising out of or in relation to this Agreement will be settled amicably by the parties. In the event, no amicable settlement is arrived at within a period of 15 (fifteen) days from the date of first initiation of the dispute by one party to other, the parties will resolve the dispute by means of arbitration pursuant to the Arbitration and Conciliation Act, 1996.
12.3. The arbitration proceedings will be conducted by an arbitral tribunal comprising of a sole arbitrator appointed by Ryedr.
12.4. The decision and award determined by such arbitration will be final and binding upon the Parties.
12.5. The arbitration proceedings shall be conducted in English and the venue and seat of the arbitration shall be Patna. The arbitrator shall pass a reasoned award in writing within six (6) months of the date of the appointment of the presiding arbitrator.
12.6. The present clause shall survive the termination or expiry of this Agreement.

2. RELATIONSHIP BETWEEN CAPTAIN AND RYEDR
2.1. This Agreement does not create an employment, agency, partnership, joint
venture, or franchisor-franchisee relationship. You retain the sole right to
determine when, where, and whether you provide Ride Services. You
understand and agree that Ryedr does not employ you or engage you to provide
any transportation services. You have no authority to act on behalf of Ryedr or
to bind Ryedr to any agreements.
2.2. You acknowledge that you operate a separate and independent business and that
your income is based solely on your own efforts and the transportation services
you choose to provide.
2.3. You control whether and when you wish to accept requests for rides via the
Platform. There is no obligation to accept any minimum number of ride requests.
However, your conduct and the experience you provide to Riders may influence
your continued access to the Platform, subject to feedback and compliance with
our standards.
2.4. Subject to your compliance with this Agreement, Ryedr grants you a limited,
non-exclusive, non-transferable, and revocable license to access and use the
Platform solely for the purpose of providing Ride Services.
2.5. You will be accessing the Platform to discover the leads of Riders. No other
relationship exists between you and Ryedr. Ryedr and the Captains are
independent legal entities, and nothing in these T&Cs will be construed to create
a partnership, joint venture, an association of persons, agency (disclosed or
undisclosed), franchise, sales representative, or employment relationship
between Ryedr and the Captain. It is clarified that neither party will have any
right to conclude any contract for and/ or on the behalf of the other party in any
manner.
3. YOUR RESPONSIBILITIES
3.1. You are solely responsible for complying with all state and central laws and
regulations that apply to your provision of transportation services, including but
not limited to licensing, vehicle insurance, registration, and safety requirements
("Legal Requirements"). You must maintain all necessary authorisations and
documentation at your own expense.
3.2. You are also responsible for the safe and lawful operation of your vehicle, and
for ensuring that your services meet any applicable accessibility requirements.
If applicable laws or our policies require you to accommodate Legal
Requirements, you must comply without exception. Failure to do so may result
in loss of Platform access.
4. SERVICE STANDARDS
4.1. You represent and warrant that you have the necessary skills, licenses, permits,
and experience to perform Services professionally and safely. You are
responsible for providing and maintaining any equipment or tools (such as your
vehicle and mobile device) necessary for your use of the Platform and delivery
of services. All costs related to your operations, including fuel, maintenance,
insurance, and data usage, are solely your responsibility.
4.2. You agree to provide Ride Services in a manner that is safe, courteous, and
compliant with the law. You understand that your continued access to the
Platform may depend on maintaining quality standards, following our policies
and receiving positive Rider feedback.
5. REGISTRATION AND ACCESS TO THE PLATFORM
5.1. We provide the Platform on which you may discover the Riders and may choose
to provide Ride Services on your own by means of Vehicles, in accordance with
terms and conditions.
5.2. Ryedr may collect Captain Information (defined below) at the time of
onboarding of the Captain, to establish the identity of the Captains. Ryedr
reserves the right to store, process, access and use the Captain Information for
business purposes and needs, marketing, service, development, analytics,
research, as Ryedr may deem fit and in accordance with Ryedr' Privacy Policy
and applicable law. The Captain hereby expressly consents to such collection
and use of Captain Information.
5.3. Subject to applicable laws, Ryedr may provide to a third party, governmental
agency, judicial body, any Captain Information or information relating to the
Captain, if there is a complaint, dispute or conflict, including any accident
involving a Captain on one hand and end-consumer, or a third party on the other
hand.
5.4. By using the Platform, you authorize Ryedr, whether directly or indirectly
through third parties, to collect information about you including Captain
Information, or make any inquiries necessary to validate your identity including
background checks as mandated by law and in accordance with our Privacy
Policy. Please read the Privacy Policy to understand how we collect, process and
share your information, including Captain Information, personal information
and sensitive personal data or information (collectively, "Information").
5.5. When you provide any Information to Ryedr, you will provide only true,
accurate, current, and complete Information. You understand and acknowledge
that the responsibility to provide correct Information, including your contact
information, lies solely with you. We will not be responsible to verify the
accuracy of the Information provided by you.
5.6. To use the Platform, you should be eligible as per the onboarding criteria and
provide such documents as requested by Ryedr (from time to time) as per
applicable law and Ryedr's internal policies and ensure continued compliance
with the same. Particularly, you represent, warrant and covenant to Ryedr that:
a. The Captain holds a valid proof of any identity on the basis of any
document listed under Rule 4 of the Central Motor Vehicle Rules, 1989
("CMVR");
b. The Captain holds a valid driving licence for the concerned vehicle type
or class within which the respective vehicle falls throughout the period of
onboarding;
c. That the Captain has the required experience mandated under sub- section
(1) of section 7 of the Motor Vehicle Act which is at least one year of
experience driving a light motor vehicle;
d. The Captain has a valid bank account in his/ her name;
e. The Captain has not been convicted within the past seven (7) years, or no
proceeding is pending against the Captain regarding for any of the
following offence, namely:
(i) the offence of driving under the influence of drugs or alcohol, and
(ii) any cognizable offence under the Bharatiya Nagarik Suraksha Sanhita,
2023 and the Bharatiya Nyaya Sanhita, 2023 (as may be applicable)
including fraud, sexual offences, use of a motor vehicle to commit a
cognizable offence, a crime involving property damage or theft, acts of
violence, acts of terror or acts constituting nuisance or danger to public;
f. There is no pending challans applicable to the Vehicle prior to integration
with the Platform.
g. The Captain undergoes a medical examination for fitness, including an eye
check-up, by a hospital or medical institution identified by Ryder;
h. The Captain undergoes a psychological analysis conducted by Ryder to
determine whether they are fit to be on-boarded;
i. The character and antecedents of the Captain are verified by the Police at
least seven (7) days prior to on-boarding and Ryder shall maintain a
written record of such verification;
5.7. You must register on the Platform and create an account on the Platform ("Your
Account") by providing accurate Information as sought during the registration
process.
5.8. Further, we may ask you for Information or documents that will allow us,
whether directly or indirectly through third parties, to reasonably identify you,
requiring you to take steps to confirm your right over your email address or
financial instruments, or verifying your information against third party databases
or through other sources. We reserve the right to terminate, suspend, or limit
access to the Platform in the event we are unable to obtain or verify this
Information.
5.9. You are solely responsible for maintaining the confidentiality of your credentials
provided upon registration by you, and Ryedr is not liable for any loss you may
incur as a result of someone else using Your Account, either with or without
your knowledge.
5.10. You agree to accept responsibility for all activities that occur in or from Your
Account, and agree to establish reasonable security procedures and controls to
limit access to the password or other identifying information of Your Account
to unauthorized individuals, which includes choosing passwords and other
credentials in a manner that will protect the security of your Information. Your
credentials include your name and password of Your Account and to any thirdparty
account you have used to login to Your Account.
5.11. Ryedr will not be liable for any breach of security or unauthorized use of Your
Account.
5.12. Ryedr will not be liable if you do not download the correct mobile application
including correct and compatible version of the mobile application.
5.13. You agree that Ryedr (either directly or indirectly through its affiliates or third
parties) may communicate with you in connection with the Platform services
offered by Ryedr on the Platform to You, either electronically (for example,
push notifications), or through phone calls, WhatsApp messenger application,
email, or through other modes.
5.14. Once you have registered Your Account, you will be discoverable on the
Platform to the Riders and will be able to offer and provide ride services based
on the pick-up location and drop off location chosen by the Riders.
5.15. After the acceptance of the ride service request by you, you can communicate
with the Riders on the Platform until the start of the ride.
5.16. The Platform will reflect an indicative price for the distance between your
chosen pick up and drop off location. The ride fare will be decided by you and
the Captain mutually. Ryedr is not involved or responsible for fixing the ride
fare for the ride service.
6. BACKGROUND SCREENING, LICENSING, AND VEHICLE
REQUIREMENTS
In relation to your access of the Platform to provide the Services, you covenant
and agree to the following:
6.1. For the purposes of registration/ creation of an account on the Platform and
providing the Services, you confirm that you are 18 years of age.
6.2. You are not restricted by any legal, regulatory, judicial, quasi-judicial or other
authority, to access the Platform or provide the Services, including to enter into
transactions contemplated using the Services.
6.3. You will provide the Services solely as permitted and in accordance with these
T&Cs and in accordance with applicable laws.
6.4. By using the Platform and offering the Services, you authorize Ryedr, whether
directly or indirectly through third parties, to collect information about you or
make any inquiries necessary to validate your identity including conduct police
verification and background checks, in accordance with our Privacy Policy.
Please read the Privacy Policy to understand how we collect, process, and share
your information, including personal information and sensitive personal data or
information (collectively, "Information").
6.5. When you provide any Information to Ryedr, you will provide only true,
accurate, current, and complete Information. You understand and acknowledge
that the responsibility to provide correct Information, including the contact
information, bank account details etc., as required in connection with the
Services, lies solely with you. You must take all caution to ensure that there are
no mistakes and errors in the Information you provide. We will not be
responsible to verify the accuracy of the Information provided by you.
6.6. You agree that your vehicle must be properly licensed, registered, and in
compliance with all legal and regulatory requirements for providing ride services
in your area.
6.7. The Captain must have identity proof / badge and commercial driving license as
required under the Motor Vehicles Act, 1988 and the rules made thereunder
6.8. The Captain must have registration certificate, fitness certificate, pollution
certificate, contract carriage permit and mandatory insurance policy in respect
of the Vehicle proposed to be used for the Services.
6.9. These T&Cs impose valid and legally binding obligations on you and are
enforceable against you.
7. CAPTAIN CONDUCT AND OBLIGATIONS
7.1. In relation to the Platform, the Captain agrees to:
7.1.1. Not authorize others to use Your Account on the Platform;
7.1.2. Not assign or otherwise transfer Your Account to any other person or
legal entity;
7.1.3. Not use the Platform for unlawful purposes, including but not limited to
sending or storing any unlawful material or for fraudulent purposes;
7.1.4. Not carry-out any activity which is prohibited by any law in any manner
(including but not limited to, taking calls, consume alcohol or drugs or
other illegal substances, or be under the influence of drugs or other
illegal substances, when providing ride services) which may impact
Ryedr in any manner.;
7.1.5. Not impair the proper operation of the network/ Platform and will not
use any device, software, routine, file or other tool or technology, which
includes any viruses, trojan horses, worms, time bombs or cancelbots,
intended to damage, interfere with or affect functionality or operation of
the Platform, to surreptitiously intercept or expropriate any system, data
or information in connection with the content hosted/ available on the
Platform, or to affect the operation of any other websites or the internet;
7.1.6. Not take any action that imposes an unreasonable or disproportionately
large load on the infrastructure associated with the Platform, including
but not limited to denial-of-service attacks, "spam" or any other such
unsolicited overload technique;
7.1.7. Not try to harm the Platform in any way whatsoever;
7.1.8. Not copy, or distribute any content on the Platform without written
permission from Ryedr; and
7.1.9. Not use the Platform with an incompatible or unauthorized device.
7.2. In addition to the foregoing, you will not upload, display, share, host, publish or
transmit any information that:
7.2.1. Either belongs to another person or to which you do not have any right
whatsoever;
7.2.2. Is harmful, offensive, harassing, obscene, pornographic, invasive of
another's privacy, hateful, racially or ethnically objectionable,
disparaging, relating to or encouraging money laundering or gambling,
or an online game that causes your Rider's harm, or otherwise unlawful
in any manner whatsoever, or promoting enmity between different
groups on the grounds of religion or caste with the intent to incite
violence;
7.2.3. Infringes any patent, trademark, copyright or any other proprietary
rights;
7.2.4. Harms minors in any way or is harmful to child;
7.2.5. Includes any commercial material or content (including solicitation of
funds, advertising, or marketing of any goods or services);
7.2.6. Deceives or misleads the addressee about the origin of such messages,
or communicates any misinformation or information which is patently
false and untrue or misleading in nature or in respect of any business
of the Central Government, is identified as fake or false or misleading
by such fact check unit specified by the Government;
7.2.7. Impersonates another person;
7.2.8. Contains software viruses or any other computer code, files or
programs designed to interrupt, destroy or limit the functionality of any
computer resource;
7.2.9. Threatens the unity, integrity, defence, security or sovereignty of India,
friendly relations with foreign states, or public order or causes
incitement to the commission of any cognizable offence or prevents
investigation of any offence or is insulting any other nation;
7.2.10. Is in the nature of an online game that is not verified as a permissible
online game;
7.2.11. Is in the nature of advertisement or surrogate advertisement or
promotion of an online game that is not a permissible online game, or
of any online gaming intermediary offering such an online game; or
violates any existing law.
7.3. Ryedr reserves the right to immediately terminate the use of the Platform by the
Captain if he does not comply with any of the above rules in Clauses 18.1 and
18.2 above.
7.4. In consideration of safety aspects, the Captain will not be permitted to operate
on the Platform for more than such number of hours on a calendar day as
mandated under the applicable laws and should take a mandatory break of such
number of hours before subsequent login into the Platform and offering the ride
services, as required by applicable law.
7.5. The Captain consents to provide identity documents as required under Ryedr'
policies, directly or indirectly through a third party appointed by Ryedr.
7.6. In relation to Rider: Captain will strictly follow the Code of Conduct Policy
which shall be subject to change and any changes shall be intimated to the
Captain from time to time via SMS or e-mail. Code of Conduct Policy is
mentioned below:
Breach Cases:
7.6.1. Asking for tips: Captain shall not ask for 'tips' from the Rider. Captain
shall not hassle the Rider for change.
7.6.2. Wasting Rider's Time: Captain shall not stop the Vehicle for filling fuel
in between the journey. Captain shall not make any personal stops during
the journey.
7.6.3. Personal hygiene: Captain shall wear neat Ryedr uniform & badge (if
provided by Ryedr) at all times during duty hour. Captain shall maintain
personal hygiene.
7.6.4. Rider Service: Captain shall greet Riders both at pick up and drop.
Captain shall manage the luggage (both at pick-up and drop point).
Captain shall ensure that vehicle's AC is turned on before Rider sits in
the Vehicle.
7.6.5. Vehicle Cleanliness: Captain shall keep the Vehicle and dashboard clean.
Captain shall make the Vehicle available for field audit within 2 days'
time period from such breach. Till then no bookings shall be provided
and the Vehicle will be blocked from the device.
7.6.6. Disturbing Rider: Captain shall not play loud music (above mid-level of
the stereo) or music through any kind of earphone device. Captain shall
not unnecessarily blow horn. Captain shall not proactively engage into a
personal conversation with the Rider and shall not resort to any kind of
unpleasant behaviour with Riders.
7.6.7. No Smoking/Tobacco/Pan/Masala/Food Item: Captain shall not smoke
inside the Vehicle. Captain shall not chew any masala or chewing gum
or any other food item while a ride is in progress.
7.6.8. The Captain shall ensure that he has adequate change with him so that at
all times he is in the position to return the balance amount to the Rider.
7.6.9. The Captain should not make any fake calls or give any missed calls to
the Rider's contact number. The Captain should only give a call to the
Rider informing the Rider about the arrival of the Vehicle at the
destination. Captain shall not make unwarranted use of the Rider contact
details after the customer has been dropped at the destination.
7.6.10. The Captains shall be well versed with the routes. The Captain shall not
take any long route when there is another short route known to him for
reaching the destination. The Captains are not expected to halt at several
places during the journey due to lack of knowledge of the routes.
7.6.11. Delay In Pick - Up: Captain should reach the pickup point (before pickup
time). Captain must intimate the Rider that he has reached at the pick
- up location.
7.6.12. Captain should keep his mobile 'ON' while he is logged into the
Platform and he should receive every call of the Rider. Captain should
not make any deliberate attempt to park the Vehicle in 'non-network'
area while the Rider is away for his/her personal work.
7.6.13. Rude behavior with female/senior citizen Rider: Captain shall not under
any circumstance argue with the Rider/use abusive words / raise his
voice tone while talking to the Rider. Captain should follow the
instructions given by Rider as well as by Ryedr Call Centre.
7.6.14. Mobile Phone Usage: Captain shall not use mobile phones (unless for
emergency purposes) while driving. This includes but not limited to
SMS, video calls, voice, MMS and downloading. However, this shall not
apply in case of calls from Ryedr representatives and the Rider.
7.6.15. Reporting To Ryedr: Captain shall not lie about Vehicle's position to the
Ryedr representative. Captain shall not report meter readings incorrectly.
Captain shall provide opening and closing readings of the odometer on
time as and when such reading is required to be provided by the Ryedr
representatives.
7.6.16. Rash Driving: Captain shall not exceed the speed limit of: (i) 50 Kms
per hour within the city; (ii) 60 Kms per hour on state highways; and (iii)
80 Kms per hour on National highways. If any other speed limits
prescribed for any road which is lower than the speed limits specified in
(i), (ii) and (iii) above, the Captain shall follow the said prescribed lower
speed limits. Captain should not apply sudden breaks and should not take
sharp turns that may cause inconvenience to the Rider.
7.6.17. Driving License (DL) & Other RTO Documents: While on duty hours
with Ryedr it is mandatory to keep DL and all relevant RTO impacting
papers (T-permit, PUC, Insurance, RC, etc.).
7.6.18. While performing the Taxi Services, Captain should not sleep in the
Vehicle.
7.6.19. Captain shall not reject the booking on his own at the time of allotment
under any circumstances (unless permitted by Ryedr).
7.6.20. Captain shall not reject a booking or a Rider once he has accepted the
duty and logged in and shall not switch off his mobile under any
circumstances.
7.6.21. Missing luggage: Captain should hand over the luggage or bags to the
office, if the Rider has mistakenly left any luggage in his cab or the
Captain should call to the Rider and inform him that he has forgotten his
belonging in the cabs.
7.6.22. Device Misuse: Captain shall ensure that the Device (as defined in the
Captain T&C) shall not be misused in any ways.
7.6.23. Traffic Rules: Captain shall obey all traffic rules including traffic
signals. Captain shall keep all statutory documents (insurance
documents, vehicle registration book/card, PUC Certificate, etc.) at all
times. Captain shall wear seat belt all the time while driving.
7.6.24. Captain lying or completing service in bad-faith: Captain should follow
the best and shortest possible route to reach the destination. Captain
should not misrepresent or misguide the routes or duty slips to increase
the fare.
7.6.25. Captain shall not consume/intake or be under the influence of alcohol or
narcotic substances while logged into the Platform.
7.6.26. Abusive or discriminatory Captain: Captain should not do anything like
abusing the Rider, talking to Rider or any such behavior which shall
make the Rider feel uncomfortable during journey. Captain should not
discriminate against Rider for any reason, including on the basis of sex,
race, caste, creed, religion, disability or nationality.
7.6.27. Rude behavior/ Rider inconvenience: Captain should not ask the Rider
to get down from his vehicle in the middle of the journey even if any
misunderstanding or verbal fights happen between the Rider and the
Captain. If his Vehicle gets breakdown he himself should call the Ryedr
office and make arrangement for another vehicle at any cost for the Rider
and drop the Rider to the drop location.
7.6.28. Extra Ordinary Circumstances: Any instance of Captain's behavior that
directly or indirectly impacts the Company's "Brand Image".
7.6.29. Maximum Weight: Never load the vehicle above the manufacturer's
maximum specified weight.
7.6.30. Medically Fit: Never drive the vehicle if medical conditions will impact
the driving.
7.6.31. Unauthorized Goods or Persons: Not carry any unauthorized goods or
persons till the completion of the Ride.
8. SUBSCRIPTION PLAN
8.1. Access to the Platform is subject to the applicable Subscription Plan selected by
the you. Different features, services and levels of access may be available based
on the chosen subscription plan.

8.3. Ryedr reserves the right to modify, update, or discontinue any subscription plan,
including its pricing, features, and eligibility requirements, at its sole discretion,
with or without prior notice. Any such changes shall become effective as per the
terms specified at the time of the update. Continued access or use of the platform
after any changes to the Subscription Plan shall constitute acceptance of the
modified terms.
9. REFUNDS

**Refunds will be processed to the original mode of payment within 7-10
working days after validation. No refund shall be admissible once the above
limits are exceeded or in cases of violation of platform policies.
10. NON-REFUNDABLE CONDITIONS:
10.1. Captain will not be eligible for any refund in the following cases:
10.1.1. Subscription purchased via unauthorized agents or third-party
channels.
10.1.2. If the Account is deactivated due to policy violation, fraud, or
misconduct.
10.1.3. Voluntary discontinuation of services after starting a subscription.
10.1.4. Soft launch or discounted promotional offers (e.g., Rs + GST) are
strictly non-refundable.
11. UNCONDITIONAL FULL REFUND:
11.1. The Company shall issue a full (100%) refund under the following
exceptional circumstances:
11.1.1. Rejection of Captain Profile due to internal or technical error after
subscription.
11.1.2. Verified technical malfunction in the App preventing Captain Login,
ride access, or earnings.
11.1.3. Non-availability of Ryedr services in the Captain's registered city/area
for over 10 continuous days.
12. REFUND REQUEST PROCESS
12.1. To initiate a refund:
12.1.1. Submit a request via the Ryedr App Go to Menu > Help Center >
support@ryedr.com
12.1.2. Or email your cancellation request to support@ryedr.com , with:
12.1.2.1. Full name and registered mobile number
12.1.2.2. Subscription type and date of activation
12.1.2.3. Reason for cancellation
12.1.2.4. Payment receipt/transaction ID (if available)
12.2. The cancellation will be processed and confirmed within 3 business days. If
eligible, the refund (if any) will follow the Captain Subscription Refund Policy.
13. AUTO-RENEWAL TERMS
13.1. Monthly subscriptions may be auto renewed via card, UPI, or wallet.
13.2. Captain can disable auto-renewal by using the "My Subscription" section in
the Ryedr or by sending an email to: support@ryedr.com at least 48 hours
before renewal.
13.2.1. Ryedr Partner App or email support@ryedr.com with:
- Full name and Captain ID
- Subscription invoice and payment reference
- Reason for refund request
13.2.2. Requests must be made within the designated refund window.
13.2.3. Ryedr will respond to all valid refund requests within 5 business days.
13.2.4. Approved refunds will be processed within 7-10 business days through
the original payment method.
14. FARE CALCULATION AS PER SERVICE TYPE
14.1. Base fare shall be fixed for the initial Km.
14.2. For the subsequent Km, a per Km rate shall be applicable.
14.3. A per min charge shall also be payable by the Rider based on travel duration.
14.4. Surge pricing shall be applicable based on demand-supply algorithm.
14.5. A fixed fee of the Total Ride Fee shall be deducted by Ryedr as Platform Fee.
14.6. GST & TDS will be included in the total ride amount, and same will be settled
in company account as per requirement.
15. CANCELLATION POLICY
15.1. Rider Cancellation
15.1.1. If the Rider cancels the Booking after 2 minutes of the Captain arriving
at the pickup spot or 5 minutes before the pickup, a partial payment Rs.
50 will be credited to Captain.
15.1.2. No partial payment shall be deducted if the Rider cancels the Booking
within 2 minutes of the Booking.
15.2. Captain Cancellation
15.2.1. The Captain is allowed to cancel only 5 Rides per day.
15.2.2. Excessive cancellations may lead to:
15.2.2.1. Temporary suspension
15.2.2.2. Lower Captain ratings
15.2.2.3. Platform penalties INR 50.
16. RATING SYSTEM
16.1. The Captain shall have the option to provide a rating and feedback about the
Rider on the App at the end of each journey.
16.2. Poor performance i.e. below 3.5 average rating may result in a warning which
can result in temporary suspension or permanent deactivation of the account of
the Captain.
17. COMMISSIONS, PAYOUTS & INCENTIVES:
17.1. Weekly payouts through bank transfer.
17.2. Platform deducts a commission percentage + applicable taxes.
17.3. Incentive (if any) may be given to the Captain by Ryedr from time to time. The
Incentives shall be determined after taking into consideration all dues, fines,
charges, interest, claims, costs, expenses etc. For the sake of clarity, both the
parties acknowledge and agree that the foregoing amounts are only for limited
purposes of arriving at the value of Incentives.
18. CONFIDENTIALITY
18.1. Confidential Information: Each party acknowledges and agrees that in the
performance of these T&C it may have access to or may be exposed to, directly
or indirectly, confidential information of the other party or third parties
("Confidential Information"). Confidential Information includes Rider User
Information and the transportation volume, marketing and business plans,
business, financial, technical, operational and such other, non-public
information of each party (whether disclosed in writing or verbally) that such
party designates as being proprietary or confidential or of which the other party
should reasonably know that it should be treated as confidential. Confidential
Information does not include any information that: (a) was in the receiving
party's lawful possession prior to the disclosure, as clearly and convincingly
corroborated by written records, and had not been obtained by the receiving
party either directly or indirectly from the disclosing party; (b) is lawfully
disclosed to the receiving party by a third party without actual, implied or
intended restriction on disclosure through the chain of possession, or (c) is
independently developed by the receiving party without the use of or access to
the Confidential Information, as clearly and convincingly corroborated by
written records.
18.2. Obligations. Each party acknowledges and agrees that: (a) all Confidential
Information shall remain the exclusive property of the disclosing party; (b) it
shall not use Confidential Information of the other party for any purpose except
in furtherance of these T&Cs; (c) it shall not disclose Confidential Information
of the other party to any third-party, except to its employees, officers,
contractors, agents and service providers ("Permitted Persons") as necessary
to perform their obligations under this Agreement, provided Permitted Persons
are bound in writing to obligations of confidentiality and non-use of
Confidential Information no less protective than the terms hereof; and (d) it
shall return or destroy all Confidential Information of the disclosing party, upon
the termination of this Agreement or at the request of the other party; subject
to applicable law and our internal record-keeping requirements.
18.3. Remedies. The unauthorized use or disclosure of any Confidential Information
would cause irreparable harm and significant damages, the degree of which
may be difficult to ascertain. Accordingly, the parties have the right to obtain
immediate equitable relief to enjoin any unauthorized use or disclosure of
Confidential Information disclosed by the other party, in addition to any other
rights or remedies described below.
19. INDEMNITY
19.1. The Captain shall be solely liable for any and all accidents/incidents involving
the Vehicle, while providing the taxi Services. Ryedr shall not be held liable
for any such accidents/ incidents involving the Captain's Vehicle.
19.2. All miscellaneous expenses pertaining to the Vehicle, such as maintenance
expenditures, penalty for violation of traffic rules, etc., shall be borne solely by
the Captain, and Ryedr shall not be held liable or responsible for the same.
20. TERMINATION & SUSPENSION
20.1. This Agreement becomes effective when you accept it and will continue until
ended by either you or us. You may choose to end this Agreement for any
reason by giving us at least 3 days' written notice.
20.2. Ryedr is entitled to terminate these T&Cs at all times and with immediate
effect, at its sole discretion, (by disabling the Captain's registration on the
Platform and use of the Platform) for any one or more of the following reasons:
20.3. Any violation or breach of any term of these T&Cs or non-compliance with the
requirements under applicable laws;
20.3.1. If the Captain, in the opinion of Ryedr, misuses the Platform; or
20.3.2. Where, in their opinion, continuance of the services of Captain is
detrimental to the business interest of Ryedr due to the acts of the Captain.
20.4. Ryedr may terminate these T&Cs immediately on the above grounds and is not
obliged to give notice of the termination of these T&Cs in advance.
20.5. Ryedr, in addition to its right to terminate these T&Cs, in its sole discretion
reserves the right to legally prosecute the Captain immediately, if there is
reason to believe that the Captain has indulged in any fraudulent activity or
contravened the T&Cs of the Platform or violated any applicable laws and
Ryedr will not be responsible for any consequences to the Captain arising from
the same.
20.6. Upon termination:
20.6.1. Captain will stop accessing the Platform; and
20.6.2. Captain will cease holding out as a ride service provider using with Ryedr'
Platform in any manner.
21. GOVERNING LAW AND DISPUTE RESOLUTION
21.1. These T&Cs will be governed by and interpreted in all respects in accordance
with the laws of India.
21.2. Subject to the provisions made herein, the parties hereby submit to the
exclusive jurisdiction of the courts of Delhi, India.
21.3. All disputes arising out of or in relation to these T&Cs will be settled amicably
by the parties. In the event, no amicable settlement is arrived at within a period
of 15 (fifteen) days from the date of first initiation of the dispute by one party
to other, the parties will resolve the dispute by means of arbitration pursuant
to the Arbitration and Conciliation Act, 1996.
21.4. The arbitration proceedings will be conducted by an arbitral tribunal
comprising of a sole arbitrator mutually appointed by you and Ryedr.
21.5. The arbitration proceedings will be conducted in English language only and
the seat for arbitration will be Delhi, India.
21.6. The award of the arbitral tribunal will be final and binding.
22. MISCELLANEOUS
22.1. You may not assign your rights under these T&Cs without prior written
approval of Ryedr. Ryedr may freely assign its rights and obligations without
prior notice to or consent from Captain.
22.2. These T&Cs may be amended from time to time and as and when required, at
the sole discretion of Ryedr. If Ryedr makes any changes to these T&Cs that
it deems to be material, Ryedr will make a reasonable effort to inform you of
such changes, but it is your responsibility to review the T&Cs posted to the
Platform from time to time to see if it has been changed. The updated version
of these T&Cs will supersede the current version, and such updated version
will be immediately effective upon being posted on the Platform. The
continued use of the Platform following the notification of modification of the
T&Cs or after being updated on the Platform will be construed to mean the
acceptance of the said modified T&Cs.
22.3. If any portion of these T&Cs are found to be unenforceable, the remaining
portion will remain in full force and effect.
22.4. Ryedr may give notice by means of a general notice on the Platform, or by
electronic mail to your email address on record in the Captain's account
information, or by written communication sent by regular mail to the
Captain's address on record in the Captain's account information.

Merchant Disclosure
Ryedr is a technology aggregator. Captains provide transportation services; Ryedr connects riders and captains and provides platform infrastructure.
Ride fare belongs to the captain. Ryedr may collect payments on behalf of captains where applicable. Ryedr revenue is limited to platform fees and captain subscription fees.
Payments & Refunds
Payments may be digital through payment gateways or in cash where permitted. Digital payments are processed through gateway partners and held in segregated virtual accounts before settlement.
Refunds are processed to the original payment method or as ride credits based on the payment flow. Cancellations before a captain is assigned receive a full refund. Completed rides are not refundable unless there is a fare error, route deviation, or safety issue.
Dispute & Chargeback Handling
Payment disputes or chargebacks are handled through an evidence review process with the payment gateway or bank. During investigation, the disputed amount may be temporarily restricted.
Repeated dispute abuse can lead to payment restrictions. Legitimate disputes are resolved with restoration and user notification once verified.
Payment Partners & Data Flow
Customer-facing financial operations are executed via payment gateways such as Cashfree and PayU. Gateway settlement reports are reconciled against internal records before payouts and statutory remittances.
Cash rides are the only exception where payment occurs directly between rider and captain, and are reconciled through internal controls.
Customer Support & Resolution
Disputes and refund requests are handled via in-app help, WhatsApp Business, or email. Target response times: in-app help and WhatsApp within 30-45 minutes, email within 24 hours.

1. INTRODUCTION
1.1. This Privacy Policy explains how M/s. Prakydr Tech Pvt. Ltd. ("Ryedr",
"Company", "we", "us", or "our") collects, uses, shares, protects, and retains
Personal Information and Sensitive Personal Data or Information
("Information") when you use our mobile applications ("Ryder App"),
website "(https://ryedr.com) (collectively the "Platform"), or our services
("Services").
1.2. By accessing or using the Platform or Services, you acknowledge and accept
this Policy and consent to the processing of your Information as described
herein. If you do not agree with the terms of this Policy, you are advised not
to use the Platform or Services. You are requested to carefully read this
Policy before using the Platform or submitting any Information to Ryedr.
This Policy forms an integral part of, and shall be read in conjunction with,
the Terms and Conditions applicable to users of the Ryedr Partner App
available on the Platform.
1.3. This Policy is supplemental to and must be read with our Terms and
Conditions, and together they constitute a binding contractual agreement
between you ("User" or "Rider") and Ryedr.
2. DEFINITIONS
Unless otherwise provided in this Policy, the terms capitalized in the Policy
shall have the meaning as provided hereunder:
- Captain: An individual who has registered with and been approved by
Ryedr to operate a vehicle.
- Co-branded Services: Shall have the meaning assigned to the term in
Clause 5.3 hereto.
- Data: A representation of information, facts, concepts, opinions, or
instructions in a manner suitable for communication, interpretation, or
processing by human beings or automated means.
- Data Fiduciary: As per the Digital Personal Data Protection Act, 2023, the
entity (Ryedr) that determines the purpose and means of processing personal
data.
- Device: Any computer, mobile, or other device used to access the Services.
- Device Identifier: An IP address or other unique identifier of a Device.
- Personal Information: Data that can identify an individual directly or
indirectly, such as name, address, email, phone number, government-issued
ID, etc.
- Processing: Any operation performed on data, including collection, storage,
use, disclosure, or deletion.
- Promotion: Any contest, campaign, or other promotional activity offered by
Ryedr.
- Rider: A person who places a Service Request on the Platform and has
accepted the Rider Terms of Use and Privacy Policy of the Platform (as
applicable).
- Sensitive Personal Data/Information: Includes government ID numbers,
health data, biometric data, financial information, and such other
information as may be classified as sensitive under applicable law.
- Services: Any services offered on Ryedr, whether on the Platform or
otherwise, in accordance with the applicable terms and conditions.
- Third-Party Service Provider (TPSP): A third-party entity engaged to
process data or provide services on behalf of Ryedr.
- Usage Information: Shall have the meaning assigned to the term in Clause
3.2 hereto.
3. USER ACCEPTANCE
3.1. By accessing or using the Platform or the Services, you agree and consent to
this Policy, along with any amendments made by the Company at its sole
discretion and posted on the Platform from time to time.
3.2. Any collection, processing, retrieval, transfer, use, storage, disclosure and
protection of your Information will be in accordance with this Policy and
applicable laws including but not limited to Information Technology Act,
2000, and the rules framed thereunder ("Applicable Laws"). If you do not
agree with the Policy, please do not use or access the Platform.
3.3. You hereby represent to Ryedr that:
3.3.1. The Information you provide to Ryedr from time to time, is and will be
authentic, correct, current and updated and you have all the rights,
permissions and consents as may be required to provide such Information
to Ryedr.
3.3.2. Your providing of the Information as well as Ryedr' consequent storage,
collection, usage, transfer, access, or processing of such Information will
not be in violation of any agreement, Applicable Laws, charter
documents, judgments, orders and decree.
3.3.3. If you disclose to us any Information relating to other people, you
represent that you have the authority to do so and to permit us to use such
Information in accordance with this Policy.
4. INFORMATION WE COLLECT
4.1. Information You provide:
4.1.1. Personal Information: We may ask you to provide certain Personal
Information to us. We may collect this information through various
means and in various places for the provision of Services, including
account registration forms, contact us forms, or when you otherwise
interact with us. When you sign up to use the Services, you create a user
profile. We shall ask you to provide only such Personal Information
which is for lawful purpose connected with our Services and necessary to
be collected by us for such purpose.
4.1.2. The Information you provide to us includes the following:
4.1.2.1. Account Information: Create or update your Ryedr account which
may include your email address, name, address, mobile number,
gender, date of birth, photograph, login name, password, banking or
payment related information (as permitted by Applicable Laws), etc.
4.1.2.2. Saved Information: While you use our Services, we may collect and
store Information about you to process your requests and
automatically complete forms for future transactions, including (but
not limited to) your phone number, address, email address, billing
information, emergency contact information, etc.
4.1.2.3. Verification Information: If you are a Captain, we may collect
location details, profile picture, call and SMS details, copies of
government issued identification documents such as Aadhaar,
Permanent Account Number, etc., license details, and other details
(KYC), vehicle related documents such as, certificate of registration,
permit of vehicle, certificate of fitness, insurance, pollution certificate
etc., user settings, and such other documents which evidence the
health or fitness of the vehicle to provide Services on the Ryedr
Platform from time to time. If you are a Captain we may also require
you to capture your real time self-clicked images (selfies) and upload
such selfies on the Ryedr Platform from time to time to verify your
identity.
4.1.2.4. Background check Information: We collect background check and
identity verification information of the Captains. This may include
collection of Information such as Captain history or criminal records
(where permitted by law), and right to work. This information may
also be collected by TPSP on the Company's behalf.
4.1.2.5. Other Apps: In case you sign up as a Captain or Rider, enable
features that require Ryedr' access to other applications on your
Device aiming to prevent and detect fraud towards the Customers.
4.1.2.6. Other Information: We collect additional Information you provide
when you correspond with Ryedr for customer support or report
problems for troubleshooting. We also collect Information that you
may submit electronically such as when you use in-app messaging,
post on any message boards, provide ratings, reviews, or comments.
In case you refer a friend, we may also collect, store, and use the
name and contact information of your friend to promote our Services.
4.2. Restrictions on uploading or sharing information:
In addition to the foregoing, you will not upload, display, share, host, publish
or transmit any information that:
4.2.1. Harmful, offensive, harassing, obscene, pornographic, invasive of
another's privacy, hateful, racially or ethnically objectionable,
disparaging, relating to or encouraging money laundering or gambling, or
an online game that causes user harm, or otherwise unlawful in any
manner whatsoever, or promoting enmity between different groups on the
grounds of religion or caste with the intent to incite violence;
4.2.2. Deceives or misleads the addressee about the origin of such messages, or
communicates any misinformation or information which is patently false
and untrue or misleading in nature
4.2.3. Threatens the unity, integrity, defence, security or sovereignty of India,
friendly relations with foreign states, or public order or causes incitement
to the commission of any cognizable offence or prevents investigation of
any offence or is insulting any other nation.
4.3. Information collected through Your access and use of the App:
4.3.1. Transaction Information: We collect transaction Information such as
trip details, pick-up and drop-off addresses, distance travelled, payment
transaction information (subject to Applicable Laws), etc.
4.3.2. Location data: Captains and Riders - Ryedr collects location data when
the Ryedr App is running in the foreground (app is open and on-screen)
or background (app is not in use) in your mobile device. For Captains,
Ryedr collects location data only when the Captains have enabled the
icon "On-Duty" on the Ryedr App.
4.3.3. Usage Information: We, our TPSP and the Rider may use a variety of
technologies that automatically (or passively) collect certain Information
whenever you visit or interact with the Ryedr Platform for obtaining the
Services ("Usage Information"). This Usage Information may include the
browser that you are using, the URL that referred you to our Services, all
of the areas within our Services that you visit, and the time of day,
searches and search results, or usage behaviour on the Ryedr App, etc.
4.3.4. Health related Information: If you are a Captain, we may collect certain
health related Information and declarations such as body temperature,
symptoms, vaccination status and other health conditions.
4.3.5. Device Information: We collect Information by ourselves or through
integration with third-party applications which consists of technical
information and aggregated usage information, and may contain, among
other things, Device Identifier of your Device, your preferred language
and country site, manufacturer, software, and model of your Device,
Device type, operating systems and versions, your geolocation, mobile
network data, screens you have visited, your touch gestures performed in
your Ryedr App, your scrolling activity, and any other actions you have
performed during your use of Ryedr App, etc., to enhance user interface
and experience on Ryedr Platform, facilitate the provision of software
updates, product support and other services to you, etc. Any sensitive
information about other programs that you are running on your Device,
passwords, and activity across other applications are not collected and all
the sensitive information are masked.
4.3.6. SMS/Text Messages: We may collect data from SMS/ text messages
upon receiving Device access permissions from you for the purposes of
(i) issuing and receiving one-time passwords and other device
verification, and (ii) automatically filling verification details during
financial transactions, either through us or a TPSP, in accordance with
Applicable Laws. We do not share or transfer SMS/ text message data to
any third party other than as provided under this Policy.
4.3.7. Call details: If you are a Rider or a Captain, we will, additionally, record
your calls with us made from the Device used to provide Services and
related call details.
4.3.8. Other Information: We collect Information about how you interact with
the Ryedr App and any of our web sites to which the Ryedr App links,
such as how many times you use a specific part of the Ryedr App over a
given time period, the amount of time you spend using the Ryedr App ,
how often you use the Ryedr App, actions you take in the Ryedr App and
how you engage with the Ryedr App, etc.
4.3.9. Cookies: Usage Information may be collected using a cookie. If you do
not want information to be collected through the use of cookies, your
browser / app settings allow you to deny or accept the use of cookies.
Cookies can be disabled or controlled by setting a preference within your
web browser or on your Device. If you choose to disable cookies or flash
cookies on your Device, some features of the Services may not function
properly or we may not be able to customize the delivery of information
to you. The Company cannot control the use of cookies (or the resulting
information) by third parties, and use of third-party cookies is not covered
by our Policy.
4.4. Information We receive from Third-parties:
We may, from time to time, collect Information about you through Ryedr
Platform or while availing the Services and collect Information from our
affiliates or third parties / TPSPs such as technical sub-contractors, business
partners, analytics providers, search information providers, payment service
providers, etc., and also from publicly available sources such as commercially
available marketing lists, social networks and other related media.
5. PURPOSE OF COLLECTION AND USE OF INFORMATION
Our primary goal in collecting your Information is to provide you with an
enhanced experience when using the Services. We may use your Information
we collect in accordance with this Policy for the following purposes:
5.1. Access and Account Management:
5.1.1. To enable you to access and use the Ryedr Platform and Services.
5.1.2. To verify your identity, eligibility, and/or legal capacity under applicable
law to use or provide Services through the Ryedr Platform.
5.1.3. To send you verification communications (such as welcome emails/SMS,
username and password confirmation, or one-time passwords).
5.1.4. To deliver administrative notices, alerts, and service-related
announcements, including information on temporary suspensions,
maintenance, or policy changes.
5.2. Service Delivery and Operations:
5.2.1. To provide the correct app version depending on your Device type, enable
functionality, troubleshoot errors/bugs, and improve usability.
5.2.2. To administer the Ryedr Platform, including server diagnostics and
performance analysis.
5.2.3. To provide your Personal Information (such as name, pickup address, and
contact number) to the relevant Captain or Rider for completion of a
Service Request.
5.2.4. If you are a Captain, to use geo-location information (when "On-Duty"
mode is active) to allocate Service Requests, enable Rider tracking, and
ensure Rider safety.
5.2.5. If you are a Captain, to share your name, vehicle number, driving licence
number, phone number, and/or profile picture (where applicable) with
Riders to provide the Services.
5.3. User Experience and Engagement:
5.3.1. To monitor usage patterns, feature adoption, trip history, and service
ratings, and to improve or customise the Platform and Services.
5.3.2. To enhance user experience through personalisation, including
customised content, offers, and recommendations.
5.3.3. To provide relevant rewards, discounts, or promotional benefits based on
your consumption patterns.
5.3.4. To enable participation in contests, sweepstakes, surveys, or promotions
(whether offered by us or third parties).
5.4. Communication and Marketing:
5.4.1. To contact you with information regarding your use of the Services,
including updates, changes, or enhancements.
5.4.2. To send newsletters, promotional materials, or offers on behalf of Ryedr
or third parties, subject to your consent.
5.4.3. To share Information with affiliates or authorised third parties (on a strict
need-to-know basis) to facilitate provision of Services or limited internal
business purposes.
5.4.4. Where you access the Services through an employer, partner, or thirdparty
offering discounts/promotions, to share your Information with such
third party for their limited internal business purposes.
5.5. Safety, Security, and Compliance:
5.5.1. To prevent, detect, and investigate violations of this Policy, our Terms
and Conditions, or applicable law.
5.5.2. To identify and respond to fraud, money laundering, abuse, security
breaches, cyberattacks, or other criminal or harmful activities.
5.5.3. To enforce our contractual rights, resolve disputes, and protect the safety
of users and the integrity of the Platform.
5.5.4. To comply with applicable laws, regulatory requirements, government or
judicial directions, or contractual obligations.
5.6. General and Residual Purposes:
5.6.1. To perform internal business functions, data analytics, and service
optimisation.
5.6.2. To fulfil any other purpose for which you provide Information, or any
purpose disclosed at the time of collection, subject to your consent.
5.6.3. For any other lawful purpose consistent with this Policy.
6. DISCLOSURE OF INFORMATION TO THIRD PARTIES
We do not sell, share, rent or trade the information we have collected about
you, other than as disclosed within this Policy or at the time you provide your
Information. Following are the situations when Information may be shared:
6.1. When You agree to share information with Third Parties:
6.1.1. You may opt to receive information and/or marketing offers directly from
third parties when you access third party links on the Ryedr App. If you
do agree to have your Personal Information shared, your Personal
Information will be disclosed to such third parties and all Information you
disclose will be subject to the privacy policy and practices of such third
parties. We are not responsible for the privacy policies and practices of
such third parties and, therefore, you should review the privacy policies
and practices of such third parties prior to agreeing to receive such
information from them. If you later decide that you no longer want to
receive communication from a third party, you will need to contact that
third party directly.
6.2. Third-Parties providing services on Our behalf:
6.2.1. We may share the Information you provide with our TPSPs, business
partners, and agents. Please refer to such third-party's privacy policy for
more details before using their services on the Ryedr App.
6.2.2. We use TPSPs to facilitate our Services, provide or perform certain
aspects of the Services on our behalf - such as host the Services, design
and/or operate the Services' features, track the Services' analytics,
process payments, engage in anti-fraud and security measures, perform
background and identity verification, run criminal record checks, provide
customer support, provide geo-location information to Captains /Riders,
enable us to send you special offers, host our job application form,
perform technical services (e.g., without limitation, maintenance services,
database management, web analytics and improvement of the Services'
features), or perform other administrative services. These third parties
will have access to Information, including Personal Information to only
carry out the services they are performing for you or for us. We will
require each of these TPSPs to ensure the same level of data protection as
us and impose contractual obligations not to disclose or use Personal
Information for any other purpose.
6.2.3. TPSPs providing analytics related services may set and access their own
cookies, web beacons and embedded scripts on your Device and they may
otherwise collect or have access to Information about you.
6.2.4. We use a third-party hosting provider who hosts our support section of
our website. Information collected within this section of our website by
such TPSP is governed by our Policy.
6.3. CO-BRANDED SERVICES
6.3.1. Certain aspects of the Services may be provided to you in association
with third parties ("Co-Branded Services") such as credit houses, loan
providers, sponsors and charities, and may require you to disclose
Information including Personal Information to them. Such Co-Branded
Services will identify the third party. If you elect to register for products
and/or services through the Co-Branded Services, you shall have deemed
to have consented to providing your Information to both us and the third
party. Further, if you sign-in to a Co-Branded Service with a username
and password obtained through our Services, your Personal Information
may be disclosed to the identified third parties for that Co-Branded
Service and will be subject to their privacy policies and practices.
6.4. CONTESTS AND PROMOTIONS
6.4.1. We may offer Promotions through the Services that may require
registration. By participating in a Promotion, you are agreeing to the
official rules that govern that Promotion, which may contain specific
requirements of you, including, allowing the sponsor of the Promotion to
use your name, voice and/or likeness in advertising or marketing
associated with the Promotion. If you choose to enter a Promotion, you
agree that your Personal Information may be disclosed to third parties or
the public in connection with the administration of such Promotion,
including, in connection with winner selection, prize fulfilment, and as
required by law or permitted by the Promotion's official rules, such as on
a winners list.
6.5. ADMINISTRATIVE AND LEGAL REASONS
6.5.1. We cooperate with Government and law enforcement officials and private
parties to enforce and comply with the Applicable Laws. Thus, we may
access, use, preserve, transfer and disclose your information (including
Personal Information, IP address, Device Information or geo-location
data), to government or law enforcement officials or private parties as we
reasonably determine is necessary and appropriate: (i) to satisfy any
Applicable Law, regulation, subpoenas, Governmental requests or legal
process; (ii) to protect and/or defend the terms and conditions applicable
to use of the Ryedr App or the Services, including investigation of
potential violations thereof; (iii) to protect the safety, rights, property or
security of the Company, our Services or any third party; (iv) to protect
the safety of the public for any reason; (v) to detect, prevent or otherwise
address fraud, security or technical issues; and /or (vi) to prevent or stop
activity we may consider to be, or to pose a risk of being, an illegal,
unethical, or legally actionable activity.
6.6. AFFILIATES AND BUSINESS TRANSFER
6.6.1. We may share your Information, including your Personal Information and
Usage Information with our parent, subsidiaries and affiliates for internal
reasons, including business and operational purposes. We also reserve the
right to disclose and transfer all such information: (i) to a subsequent
owner, co-owner or operator of the Services or applicable database; or (ii)
in connection with a corporate merger, consolidation, restructuring, the
sale of substantially all of our membership interests and/or assets or other
corporate change, including, during the course of any due diligence
process.
6.7. MARKET STUDY AND OTHER BENEFITS
6.7.1. We may share your information, including your Personal Information and
Usage Information with third parties for any purpose, including but not
limited to undertaking market research/ study, conduct data analysis,
determine and customize product or service offerings, to improve the
products or Services or to make any other benefits/products/ services
available to you.
6.8. THIRD PARTY CONTENT AND LINKS TO THIRD PARTY
SERVICES
6.8.1. The Services may contain content that is supplied by a third party, and
those third parties may collect website usage information and your Device
Identifier when web pages from any online or mobile Services are served
to your browser. In addition, when you are using the Services, you may
be directed to other sites or applications that are operated and controlled
by third parties that we do not control, in which case our Policy will no
longer apply. We are not responsible for the privacy practices employed
by any of these third parties. For example, if you click on a banner
advertisement, the click may take you away from Ryedr App onto a
different web site. These other web sites may send their own cookies to
you, independently collect data or solicit Information and may or may not
have their own published privacy policies.
6.8.2. Information (including Personal Information) may be collected by thirdparties
if there is content from the Ryedr App that you specifically and
knowingly upload to, share with or transmit to an email recipient, online
community, website, or to the public, e.g. uploaded photos, posted
reviews or comments, or information about you or your ride or booking
that you choose to share with others through features which may be
provided on our Services. This uploaded, shared, or transmitted content
will also be subject to the privacy policy of the email, online community
website, social media or other platform to which you upload, share or
transmit the content. We are not responsible for the privacy practices
employed by any of these third parties.
6.8.3. Our online and mobile Services may include social media features, such
as the Facebook Like button, and widgets such as a "Share This" button,
or interactive mini-programs that run on Ryedr App. These features may
collect Information including your IP address, photograph, which page
you are visiting on our online or mobile Services, and may set a cookie to
enable the feature to function properly. Social media features and widgets
are either hosted by a third party or hosted directly on our online Services
and/or Ryedr Platform. Your interactions with these features and widgets
are governed by the privacy policy of the company providing them and
we will not be responsible or liable for any acts or omissions of such third
parties.
6.8.4. In particular, remember that certain third-parties may be located in or
have facilities that are located in a different jurisdiction, hence, if you
elect to proceed with a transaction that involves the services of a thirdparty
service provider, then your information may become subject to the
laws of the jurisdiction(s) in which such service provider is, or its
facilities are located. We encourage you to note when you leave web
pages or links controlled by Ryedr App/ Services and to read the privacy
statements of all third party web sites or applications before submitting
any Information to such third parties. We will not be liable for any acts or
omissions of the third-party service providers.
7. INFORMATION COLLECTED BY CAPTAINS AND RIDERS
7.1. This Policy does not extend to any Information exchanged directly between
Captains and Riders during or in connection with the provision of
transportation services, and Ryedr shall not be responsible for such usage.
8. CHANGE OF INFORMATION AND TERMINATION OF ACCOUNT
8.1. You are responsible for maintaining the accuracy of the Information you
submit to us, such as your contact information provided as part of account
registration.
8.2. If your Personal Information or Information you provide to us changes, or if
you no longer desire our Services, you may correct, delete inaccuracies, or
amend information by making the change on our member information page or
by contacting us through the email address mentioned on Ryedr Platform, or
contacting the Grievance Officer. We will make good faith efforts to make
requested changes in our then active databases as soon as reasonably
practicable.
8.3. You may also cancel or modify the communications that you have elected to
receive from Ryedr by following the instructions contained within an e-mail
or by logging into your user account and changing your communication
preferences.
8.4. If upon modifying or changing the Information earlier provided to Us, we
find it difficult to provide access to our Services to you due to insufficiency/
inaccuracy of the Information, we may, in our sole discretion terminate your
access to the Services by providing you a written notice to this effect on your
registered email address.
8.5. If you wish to cancel your account or request that we no longer use your
Information to provide you services, contact us through email address
mentioned on the trip bill received, the Ryedr Platform or the Grievance
Officer mentioned in this Policy. Please note, we may not be able to provide
some or all of the Services in case you disable access to any of your
Information as described under this Policy.
8.6. We will retain your Information including Personal Information and Usage
Information (including geo-location) for as long as your account with the
Services is active and as needed to provide you services. Even after your
account is terminated, we will retain some of your Information including
Personal Information and Usage Information (including geo-location, trip
history, and transaction history) for a period of 180 days, to resolve disputes,
conclude any activities related to cancellation of an account, investigate, or
prevent fraud and other inappropriate activity related to your account, to
enforce our agreements, or for other business reasons, etc. After completion
of such period, your data may either be deleted from our database or be
anonymized and aggregated, and then may be held by us as long as necessary
for us to provide our Services effectively, but our use of the anonymized data
will be solely for analytic purposes.
9. DATA SECURITY AND RETENTION
9.1. The Information we collect is securely stored within our databases, and we
use standard, industry-wide, commercially reasonable security practices such
as encryption, firewalls and SSL (Secure Socket Layers) for protecting your
Information. However, as effective as encryption technology is, no security
system is impenetrable. We cannot guarantee the security of our databases,
nor can we guarantee that Information you supply won't be intercepted while
being transmitted to us over the Internet or wireless communication, and any
Information you transmit to us, you do at your own risk. We recommend that
you not disclose your password to anyone.
10. PRIVACY OF CHILDREN
10.1. We do not knowingly collect, solicit, or process Information from individuals
under the age of 18 years.
10.2. The use of the Ryedr App and Services is restricted to persons who are
competent to enter into a legally binding contract under Applicable Laws.
10.3. If it comes to our attention that we have inadvertently collected Information
from a person under the age of 18 years, we shall take reasonable steps to
delete such Information from our records at the earliest.

12. CHANGES TO THE PRIVACY POLICY
12.1. We reserve the right to update / modify, from time to time, this Policy to
reflect changes to our Information practices. Any changes will be effective
immediately upon the posting of the revised Policy on the Ryedr Platform. If
we make any material changes, we will notify you by email (sent to the email
address specified in your account) or by means of a notice on the Ryedr
App prior to the change becoming effective. We encourage you to
periodically review this page for the latest information on our privacy
practices. Your use of the Ryedr App or availing the Services after an updated
Policy becomes effective will indicate your acceptance of the updated Policy.
13. JURISDICTION AND GOVERNING LAW
13.1. Governing Law: This Policy, and all data processing activities conducted
under it, shall be governed by and construed in accordance with the laws of
India, including the Information Technology Act, 2000 and the Digital
Personal Data Protection Act, 2023.
13.2. Dispute Resolution: In the event of any dispute, claim, or controversy arising
out of or relating to this Policy, the parties shall first attempt to resolve the
matter amicably through good faith negotiations.
13.3. Arbitration: If the dispute cannot be resolved amicably within thirty (30)
days of written notice, the dispute shall be referred to and finally resolved by
arbitration administered in accordance with the Arbitration and Conciliation
Act, 1996. The seat of arbitration shall be Patna, India, and the proceedings
shall be conducted in English. The arbitration award shall be final and
binding on the parties.
13.4. Courts: Notwithstanding the arbitration clause, any party may approach
courts in Patna for interim relief or urgent equitable remedies pending
arbitration.
