TERMS AND CONDITIONS - CAPTAIN

INTRODUCTION:

This document is an electronic record in terms of Information Technology Act,

2000 and rules thereunder as applicable and the provisions pertaining to

electronic records in various statutes as amended by the Information Technology

Act, 2000. This electronic record is generated by a computer system and does not

require any physical or digital signatures. By clicking on the “I ACCEPT” button,

you are consenting to be bound by these Terms & Conditions for Captain for

using the Platform. PLEASE ENSURE THAT YOU READ AND

UNDERSTAND ALL THESE TERMS & CONDITIONS BEFORE YOU USE

THE SERVICE OF THE PLATFORM, AS YOU SHALL BE BOUND BY ALL

THE TERMS & CONDITIONS CONTAINED HEREIN upon clicking on the “I

ACCEPT” button. If You do not accept any of the Terms & Conditions, then

please do not use the Platform or avail any of the services being provided therein.

YOUR AGREEMENT TO THE TERMS & CONDITIONS SHALL OPERATE

AS A BINDING AGREEMENT BETWEEN YOU AND RYEDR IN RESPECT

OF THE SERVICES OF THE PLATFORM.

Your engagement with Ryedr to use the services of the Platform are subject to

your acceptance of these Terms & Conditions. Ryedr reserves the right, at its sole

discretion, to change, modify, add or remove these Terms & Conditions, in part

or in whole, at any time, without prior notice to You. It is your responsibility and

duty to check the Terms & Conditions periodically for changes. Your continued

use of the Platform following the posting of changes will mean that You accept

and agree to the changes. As long as You comply with these Terms & Conditions,

Ryedr grants You a personal, non-exclusive, non-transferable, limited privilege

to enter and use the service on the Platform.

1. DEFINITIONS

All of the defined and capitalized terms in these Terms & Conditions for Captains

(T&C) will have the meaning assigned to them herein below:

  • “Cancellation Fee” shall mean the fare payable by the Rider towards

cancellation of a booking made by a Rider.

  • “Convenience Fee” shall mean the fee payable by the Rider for availing the

technology services offered by Ryedr. Convenience Fee will be charged for

each Service Request placed by the Rider on the Portal

  • “Captain” or “You” or “Your” or “Yourself” shall mean an individual, who

has registered and been approved to operate a vehicle on behalf of Ryedr.

  • “Captain Information” shall mean and include any personal data or

Information collected from the Captain, including know your customer

documents, mobile number, and any other Information that Ryedr may deem

fit.

  • “Captain Proceeds” shall mean the net amount receivable by the Captain

after deduction of Ryedr’s commission and such other amounts as may be

provided in the Commercial Terms Segment or notified otherwise.

  • “Fare” shall mean the Fare payable to the Captain as is also reflected on the

Platform after completion of the Service. The Captain permits Ryedr to

review and revise the Fare as per the market conditions.

  • “Ryedr” or “Ryedr Cab Partner” or “We” or “Us” or “Our” or “Company”

shall mean Prakydr Tech Pvt. Ltd., a company incorporated under the

Companies Act 2013, and having its registered office at 7HF-8/2, C/o Dewal

Chakraborty, BH Colony, NBCC Tower, Bahadurpur, Patna- Bihar 800026,

which expression shall, unless it be repugnant to the context or meaning

thereof, be deemed to mean and include all its successors, affiliates and

permitted assigns.

  • “Platform” refers to the website (https://ryedr.com) and/ or such features of

the Ryedr mobile application owned and controlled by Ryedr, and other URLs

as may be specified by Ryedr from time to time, on which Captains are

permitted to provide Service.

  • “Rider” shall mean such person, who places a Service Request on the

Platform and has accepted the Rider Terms of Use and Privacy Policy of the

Platform (as applicable).

  • “Service” means the service of picking a Rider from the pick-up point as

prompted on the Platform and dropping the Rider at the drop point entered by

the Rider at the time of placing his / her Service Request and accepted by the

Captain.

  • “Service Request” means a request placed by the Rider on the Platform to

avail the cab Service offered by the Captain.

  • “Service Types” include: (i) Daily Ride: Point A to Point B rides; (ii) Rental

Ride: Hourly package-based local ride; and (iii) Outstation Ride: Intercity or

long-distance travel with return or one-way options.

  • “Subscription Plan” shall mean the plan selected by the Captain pursuant to

which the Captain has agreed to provide transport Services in accordance with

these T&C, as amended from time to time.

  • “Term” means the period commencing from the date of acceptance of the

Captain T&C by the Captain up to the date of termination of the Subscription

Plan and/or these Captain T&C.

  • “Total Ride Fee” shall include the Fare, the Convenience Fee, Additional

Fee (if any) and the Cancellation Fee (if any), reflected on the Platform and

such other fee, as may be applicable.

  • “Vehicle” shall mean three-wheelers (“Auto”), four-wheelers (“Cab”), and

two-wheelers (“Bikes”).

2. RELATIONSHIP BETWEEN CAPTAIN AND RYEDR

2.1. This Agreement does not create an employment, agency, partnership, joint

venture, or franchisor-franchisee relationship. You retain the sole right to

determine when, where, and whether you provide Ride Services. You

understand and agree that Ryedr does not employ you or engage you to provide

any transportation services. You have no authority to act on behalf of Ryedr or

to bind Ryedr to any agreements.

2.2. You acknowledge that you operate a separate and independent business and that

your income is based solely on your own efforts and the transportation services

you choose to provide.

2.3. You control whether and when you wish to accept requests for rides via the

Platform. There is no obligation to accept any minimum number of ride requests.

However, your conduct and the experience you provide to Riders may influence

your continued access to the Platform, subject to feedback and compliance with

our standards.

2.4. Subject to your compliance with this Agreement, Ryedr grants you a limited,

non-exclusive, non-transferable, and revocable license to access and use the

Platform solely for the purpose of providing Ride Services.

2.5. You will be accessing the Platform to discover the leads of Riders. No other

relationship exists between you and Ryedr. Ryedr and the Captains are

independent legal entities, and nothing in these T&Cs will be construed to create

a partnership, joint venture, an association of persons, agency (disclosed or

undisclosed), franchise, sales representative, or employment relationship

between Ryedr and the Captain. It is clarified that neither party will have any

right to conclude any contract for and/ or on the behalf of the other party in any

manner.

3. YOUR RESPONSIBILITIES

3.1. You are solely responsible for complying with all state and central laws and

regulations that apply to your provision of transportation services, including but

not limited to licensing, vehicle insurance, registration, and safety requirements

(“Legal Requirements”). You must maintain all necessary authorisations and

documentation at your own expense.

3.2. You are also responsible for the safe and lawful operation of your vehicle, and

for ensuring that your services meet any applicable accessibility requirements.

If applicable laws or our policies require you to accommodate Legal

Requirements, you must comply without exception. Failure to do so may result

in loss of Platform access.

4. SERVICE STANDARDS

4.1. You represent and warrant that you have the necessary skills, licenses, permits,

and experience to perform Services professionally and safely. You are

responsible for providing and maintaining any equipment or tools (such as your

vehicle and mobile device) necessary for your use of the Platform and delivery

of services. All costs related to your operations, including fuel, maintenance,

insurance, and data usage, are solely your responsibility.

4.2. You agree to provide Ride Services in a manner that is safe, courteous, and

compliant with the law. You understand that your continued access to the

Platform may depend on maintaining quality standards, following our policies

and receiving positive Rider feedback.

5. REGISTRATION AND ACCESS TO THE PLATFORM

5.1. We provide the Platform on which you may discover the Riders and may choose

to provide Ride Services on your own by means of Vehicles, in accordance with

terms and conditions.

5.2. Ryedr may collect Captain Information (defined below) at the time of

onboarding of the Captain, to establish the identity of the Captains. Ryedr

reserves the right to store, process, access and use the Captain Information for

business purposes and needs, marketing, service, development, analytics,

research, as Ryedr may deem fit and in accordance with Ryedr’ Privacy Policy

and applicable law. The Captain hereby expressly consents to such collection

and use of Captain Information.

5.3. Subject to applicable laws, Ryedr may provide to a third party, governmental

agency, judicial body, any Captain Information or information relating to the

Captain, if there is a complaint, dispute or conflict, including any accident

involving a Captain on one hand and end-consumer, or a third party on the other

hand.

5.4. By using the Platform, you authorize Ryedr, whether directly or indirectly

through third parties, to collect information about you including Captain

Information, or make any inquiries necessary to validate your identity including

background checks as mandated by law and in accordance with our Privacy

Policy. Please read the Privacy Policy to understand how we collect, process and

share your information, including Captain Information, personal information

and sensitive personal data or information (collectively, “Information”).

5.5. When you provide any Information to Ryedr, you will provide only true,

accurate, current, and complete Information. You understand and acknowledge

that the responsibility to provide correct Information, including your contact

information, lies solely with you. We will not be responsible to verify the

accuracy of the Information provided by you.

5.6. To use the Platform, you should be eligible as per the onboarding criteria and

provide such documents as requested by Ryedr (from time to time) as per

applicable law and Ryedr’s internal policies and ensure continued compliance

with the same. Particularly, you represent, warrant and covenant to Ryedr that:

a. The Captain holds a valid proof of any identity on the basis of any

document listed under Rule 4 of the Central Motor Vehicle Rules, 1989

(“CMVR”);

b. The Captain holds a valid driving licence for the concerned vehicle type

or class within which the respective vehicle falls throughout the period of

onboarding;

c. That the Captain has the required experience mandated under sub- section

(1) of section 7 of the Motor Vehicle Act which is at least one year of

experience driving a light motor vehicle;

d. The Captain has a valid bank account in his/ her name;

e. The Captain has not been convicted within the past seven (7) years, or no

proceeding is pending against the Captain regarding for any of the

following offence, namely:

(i) the offence of driving under the influence of drugs or alcohol, and

(ii) any cognizable offence under the Bharatiya Nagarik Suraksha Sanhita,

2023 and the Bharatiya Nyaya Sanhita, 2023 (as may be applicable)

including fraud, sexual offences, use of a motor vehicle to commit a

cognizable offence, a crime involving property damage or theft, acts of

violence, acts of terror or acts constituting nuisance or danger to public;

f. There is no pending challans applicable to the Vehicle prior to integration

with the Platform.

g. The Captain undergoes a medical examination for fitness, including an eye

check-up, by a hospital or medical institution identified by Ryder;

h. The Captain undergoes a psychological analysis conducted by Ryder to

determine whether they are fit to be on-boarded;

i. The character and antecedents of the Captain are verified by the Police at

least seven (7) days prior to on-boarding and Ryder shall maintain a

written record of such verification;

5.7. You must register on the Platform and create an account on the Platform (“Your

Account”) by providing accurate Information as sought during the registration

process.

5.8. Further, we may ask you for Information or documents that will allow us,

whether directly or indirectly through third parties, to reasonably identify you,

requiring you to take steps to confirm your right over your email address or

financial instruments, or verifying your information against third party databases

or through other sources. We reserve the right to terminate, suspend, or limit

access to the Platform in the event we are unable to obtain or verify this

Information.

5.9. You are solely responsible for maintaining the confidentiality of your credentials

provided upon registration by you, and Ryedr is not liable for any loss you may

incur as a result of someone else using Your Account, either with or without

your knowledge.

5.10. You agree to accept responsibility for all activities that occur in or from Your

Account, and agree to establish reasonable security procedures and controls to

limit access to the password or other identifying information of Your Account

to unauthorized individuals, which includes choosing passwords and other

credentials in a manner that will protect the security of your Information. Your

credentials include your name and password of Your Account and to any third-

party account you have used to login to Your Account.

5.11. Ryedr will not be liable for any breach of security or unauthorized use of Your

Account.

5.12. Ryedr will not be liable if you do not download the correct mobile application

including correct and compatible version of the mobile application.

5.13. You agree that Ryedr (either directly or indirectly through its affiliates or third

parties) may communicate with you in connection with the Platform services

offered by Ryedr on the Platform to You, either electronically (for example,

push notifications), or through phone calls, WhatsApp messenger application,

email, or through other modes.

5.14. Once you have registered Your Account, you will be discoverable on the

Platform to the Riders and will be able to offer and provide ride services based

on the pick-up location and drop off location chosen by the Riders.

5.15. After the acceptance of the ride service request by you, you can communicate

with the Riders on the Platform until the start of the ride.

5.16. The Platform will reflect an indicative price for the distance between your

chosen pick up and drop off location. The ride fare will be decided by you and

the Captain mutually. Ryedr is not involved or responsible for fixing the ride

fare for the ride service.

6. BACKGROUND SCREENING, LICENSING, AND VEHICLE

REQUIREMENTS

In relation to your access of the Platform to provide the Services, you covenant

and agree to the following:

6.1. For the purposes of registration/ creation of an account on the Platform and

providing the Services, you confirm that you are 18 years of age.

6.2. You are not restricted by any legal, regulatory, judicial, quasi-judicial or other

authority, to access the Platform or provide the Services, including to enter into

transactions contemplated using the Services.

6.3. You will provide the Services solely as permitted and in accordance with these

T&Cs and in accordance with applicable laws.

6.4. By using the Platform and offering the Services, you authorize Ryedr, whether

directly or indirectly through third parties, to collect information about you or

make any inquiries necessary to validate your identity including conduct police

verification and background checks, in accordance with our Privacy Policy.

Please read the Privacy Policy to understand how we collect, process, and share

your information, including personal information and sensitive personal data or

information (collectively, “Information”).

6.5. When you provide any Information to Ryedr, you will provide only true,

accurate, current, and complete Information. You understand and acknowledge

that the responsibility to provide correct Information, including the contact

information, bank account details etc., as required in connection with the

Services, lies solely with you. You must take all caution to ensure that there are

no mistakes and errors in the Information you provide. We will not be

responsible to verify the accuracy of the Information provided by you.

6.6. You agree that your vehicle must be properly licensed, registered, and in

compliance with all legal and regulatory requirements for providing ride services

in your area.

6.7. The Captain must have identity proof / badge and commercial driving license as

required under the Motor Vehicles Act, 1988 and the rules made thereunder

6.8. The Captain must have registration certificate, fitness certificate, pollution

certificate, contract carriage permit and mandatory insurance policy in respect

of the Vehicle proposed to be used for the Services.

6.9. These T&Cs impose valid and legally binding obligations on you and are

enforceable against you.

7. CAPTAIN CONDUCT AND OBLIGATIONS

7.1. In relation to the Platform, the Captain agrees to:

7.1.1. Not authorize others to use Your Account on the Platform;

7.1.2. Not assign or otherwise transfer Your Account to any other person or

legal entity;

7.1.3. Not use the Platform for unlawful purposes, including but not limited to

sending or storing any unlawful material or for fraudulent purposes;

7.1.4. Not carry-out any activity which is prohibited by any law in any manner

(including but not limited to, taking calls, consume alcohol or drugs or

other illegal substances, or be under the influence of drugs or other

illegal substances, when providing ride services) which may impact

Ryedr in any manner.;

7.1.5. Not impair the proper operation of the network/ Platform and will not

use any device, software, routine, file or other tool or technology, which

includes any viruses, trojan horses, worms, time bombs or cancelbots,

intended to damage, interfere with or affect functionality or operation of

the Platform, to surreptitiously intercept or expropriate any system, data

or information in connection with the content hosted/ available on the

Platform, or to affect the operation of any other websites or the internet;

7.1.6. Not take any action that imposes an unreasonable or disproportionately

large load on the infrastructure associated with the Platform, including

but not limited to denial-of-service attacks, “spam” or any other such

unsolicited overload technique;

7.1.7. Not try to harm the Platform in any way whatsoever;

7.1.8. Not copy, or distribute any content on the Platform without written

permission from Ryedr; and

7.1.9. Not use the Platform with an incompatible or unauthorized device.

7.2. In addition to the foregoing, you will not upload, display, share, host, publish or

transmit any information that:

7.2.1. Either belongs to another person or to which you do not have any right

whatsoever;

7.2.2. Is harmful, offensive, harassing, obscene, pornographic, invasive of

another’s privacy, hateful, racially or ethnically objectionable,

disparaging, relating to or encouraging money laundering or gambling,

or an online game that causes your Rider’s harm, or otherwise unlawful

in any manner whatsoever, or promoting enmity between different

groups on the grounds of religion or caste with the intent to incite

violence;

7.2.3. Infringes any patent, trademark, copyright or any other proprietary

rights;

7.2.4. Harms minors in any way or is harmful to child;

7.2.5. Includes any commercial material or content (including solicitation of

funds, advertising, or marketing of any goods or services);

7.2.6. Deceives or misleads the addressee about the origin of such messages,

or communicates any misinformation or information which is patently

false and untrue or misleading in nature or in respect of any business

of the Central Government, is identified as fake or false or misleading

by such fact check unit specified by the Government;

7.2.7. Impersonates another person;

7.2.8. Contains software viruses or any other computer code, files or

programs designed to interrupt, destroy or limit the functionality of any

computer resource;

7.2.9. Threatens the unity, integrity, defence, security or sovereignty of India,

friendly relations with foreign states, or public order or causes

incitement to the commission of any cognizable offence or prevents

investigation of any offence or is insulting any other nation;

7.2.10. Is in the nature of an online game that is not verified as a permissible

online game;

7.2.11. Is in the nature of advertisement or surrogate advertisement or

promotion of an online game that is not a permissible online game, or

of any online gaming intermediary offering such an online game; or

violates any existing law.

7.3. Ryedr reserves the right to immediately terminate the use of the Platform by the

Captain if he does not comply with any of the above rules in Clauses 18.1 and

18.2 above.

7.4. In consideration of safety aspects, the Captain will not be permitted to operate

on the Platform for more than such number of hours on a calendar day as

mandated under the applicable laws and should take a mandatory break of such

number of hours before subsequent login into the Platform and offering the ride

services, as required by applicable law.

7.5. The Captain consents to provide identity documents as required under Ryedr’

policies, directly or indirectly through a third party appointed by Ryedr.

7.6. In relation to Rider: Captain will strictly follow the Code of Conduct Policy

which shall be subject to change and any changes shall be intimated to the

Captain from time to time via SMS or e-mail. Code of Conduct Policy is

mentioned below:

Breach Cases:

7.6.1. Asking for tips: Captain shall not ask for ‘tips’ from the Rider. Captain

shall not hassle the Rider for change.

7.6.2. Wasting Rider ’s Time: Captain shall not stop the Vehicle for filling fuel

in between the journey. Captain shall not make any personal stops during

the journey.

7.6.3. Personal hygiene: Captain shall wear neat Ryedr uniform & badge (if

provided by Ryedr) at all times during duty hour. Captain shall maintain

personal hygiene.

7.6.4. Rider Service: Captain shall greet Riders both at pick up and drop.

Captain shall manage the luggage (both at pick-up and drop point).

Captain shall ensure that vehicle’s AC is turned on before Rider sits in

the Vehicle.

Captain shall make the Vehicle available for field audit within 2 days’

time period from such breach. Till then no bookings shall be provided

and the Vehicle will be blocked from the device.

7.6.6. Disturbing Rider: Captain shall not play loud music (above mid-level of

the stereo) or music through any kind of earphone device. Captain shall

not unnecessarily blow horn. Captain shall not proactively engage into a

personal conversation with the Rider and shall not resort to any kind of

unpleasant behaviour with Riders.

7.6.7. No Smoking/Tobacco/Pan/Masala/Food Item: Captain shall not smoke

inside the Vehicle. Captain shall not chew any masala or chewing gum

or any other food item while a ride is in progress.

7.6.8. The Captain shall ensure that he has adequate change with him so that at

all times he is in the position to return the balance amount to the Rider.

7.6.9. The Captain should not make any fake calls or give any missed calls to

the Rider’s contact number. The Captain should only give a call to the

Rider informing the Rider about the arrival of the Vehicle at the

destination. Captain shall not make unwarranted use of the Rider contact

details after the customer has been dropped at the destination.

7.6.10. The Captains shall be well versed with the routes. The Captain shall not

take any long route when there is another short route known to him for

reaching the destination. The Captains are not expected to halt at several

places during the journey due to lack of knowledge of the routes.

7.6.11. Delay In Pick – Up: Captain should reach the pickup point (before pick-

up time ). Captain must intimate the Rider that he has reached at the pick

- up location.

7.6.12. Captain should keep his mobile ‘ON’ while he is logged into the

Platform and he should receive every call of the Rider. Captain should

not make any deliberate attempt to park the Vehicle in ‘non-network’

area while the Rider is away for his/her personal work.

7.6.13. Rude behavior with female/senior citizen Rider: Captain shall not under

any circumstance argue with the Rider/use abusive words / raise his

voice tone while talking to the Rider. Captain should follow the

instructions given by Rider as well as by Ryedr Call Centre.

7.6.14. Mobile Phone Usage: Captain shall not use mobile phones (unless for

emergency purposes) while driving. This includes but not limited to

SMS, video calls, voice, MMS and downloading. However, this shall not

apply in case of calls from Ryedr representatives and the Rider.

7.6.15. Reporting To Ryedr: Captain shall not lie about Vehicle’s position to the

Ryedr representative. Captain shall not report meter readings incorrectly.

Captain shall provide opening and closing readings of the odometer on

time as and when such reading is required to be provided by the Ryedr

representatives.

7.6.16. Rash Driving: Captain shall not exceed the speed limit of: (i) 50 Kms

per hour within the city; (ii) 60 Kms per hour on state highways; and (iii)

80 Kms per hour on National highways. If any other speed limits

prescribed for any road which is lower than the speed limits specified in

(i), (ii) and (iii) above, the Captain shall follow the said prescribed lower

speed limits. Captain should not apply sudden breaks and should not take

sharp turns that may cause inconvenience to the Rider.

7.6.17. Driving License (DL) & Other RTO Documents: While on duty hours

with Ryedr it is mandatory to keep DL and all relevant RTO impacting

papers (T-permit, PUC, Insurance, RC, etc.).

7.6.18. While performing the Taxi Services, Captain should not sleep in the

Ve h i c l e .

7.6.19. Captain shall not reject the booking on his own at the time of allotment

under any circumstances (unless permitted by Ryedr).

7.6.20. Captain shall not reject a booking or a Rider once he has accepted the

duty and logged in and shall not switch off his mobile under any

circumstances.

7.6.21. Missing luggage: Captain should hand over the luggage or bags to the

office, if the Rider has mistakenly left any luggage in his cab or the

Captain should call to the Rider and inform him that he has forgotten his

belonging in the cabs.

7.6.22. Device Misuse: Captain shall ensure that the Device (as defined in the

Captain T&C) shall not be misused in any ways.

7.6.23. Traffic Rules: Captain shall obey all traffic rules including traffic

signals. Captain shall keep all statutory documents (insurance

documents, vehicle registration book/card, PUC Certificate, etc.) at all

times. Captain shall wear seat belt all the time while driving.

7.6.24. Captain lying or completing service in bad-faith: Captain should follow

the best and shortest possible route to reach the destination. Captain

should not misrepresent or misguide the routes or duty slips to increase

the fare.

7.6.25. Captain shall not consume/intake or be under the influence of alcohol or

narcotic substances while logged into the Platform.

7.6.26. Abusive or discriminatory Captain: Captain should not do anything like

abusing the Rider, talking to Rider or any such behavior which shall

make the Rider feel uncomfortable during journey. Captain should not

discriminate against Rider for any reason, including on the basis of sex,

race, caste, creed, religion, disability or nationality.

7.6.27. Rude behavior/ Rider inconvenience: Captain should not ask the Rider

to get down from his vehicle in the middle of the journey even if any

misunderstanding or verbal fights happen between the Rider and the

Captain. If his Vehicle gets breakdown he himself should call the Ryedr

office and make arrangement for another vehicle at any cost for the Rider

and drop the Rider to the drop location.

7.6.28. Extra Ordinary Circumstances: Any instance of Captain’s behavior that

directly or indirectly impacts the Company’s “Brand Image”.

7.6.29. Maximum Weight: Never load the vehicle above the manufacturer’s

maximum specified weight.

7.6.30. Medically Fit: Never drive the vehicle if medical conditions will impact

the driving.

7.6.31. Unauthorized Goods or Persons: Not carry any unauthorized goods or

persons till the completion of the Ride.

8. SUBSCRIPTION PLAN

8.1. Access to the Platform is subject to the applicable Subscription Plan selected by

the you. Different features, services and levels of access may be available based

on the chosen subscription plan.

8.2. Ryedr offers the following Captain Subscription Plans:

8.3. Ryedr reserves the right to modify, update, or discontinue any subscription plan,

including its pricing, features, and eligibility requirements, at its sole discretion,

with or without prior notice. Any such changes shall become effective as per the

terms specified at the time of the update. Continued access or use of the platform

after any changes to the Subscription Plan shall constitute acceptance of the

modified terms.

9. REFUNDS

9.1. Refund Details:

**Refunds will be processed to the original mode of payment within 7–10

working days after validation. No refund shall be admissible once the above

limits are exceeded or in cases of violation of platform policies.

10. NON-REFUNDABLE CONDITIONS:

10.1. Captain will not be eligible for any refund in the following cases:

10.1.1. Subscription purchased via unauthorized agents or third-party

channels.

10.1.2. If the Account is deactivated due to policy violation, fraud, or

misconduct.

10.1.3. Vo l u n t a r y d i s c o n t i n u a t i o n o f s e r v i c e s a f t e r s t a r t i n g a s u b s c r i p t i o n .

10.1.4. Soft launch or discounted promotional offers (e.g., Rs + GST) are

strictly non-refundable.

11. UNCONDITIONAL FULL REFUND:

11.1. The Company shall issue a full (100%) refund under the following

exceptional circumstances:

11.1.1. Rejection of Captain Profile due to internal or technical error after

subscription.

11.1.2. Ve r i f i e d t e c h n i c a l m a l f u n c t i o n i n t h e A p p p r e v e n t i n g Captain Login,

ride access, or earnings.

11.1.3. Non-availability of Ryedr services in the Captain’s registered city/area

for over 10 continuous days.

12. REFUND REQUEST PROCESS

12.1. To initiate a refund:

12.1.1. Submit a request via the Ryedr App Go to Menu > Help Center >

support@ryedr.com

12.1.2. Or email your cancellation request to support@ryedr.com , with:

12.1.2.1. Full name and registered mobile number

12.1.2.2. Subscription type and date of activation

12.1.2.3. Reason for cancellation

12.1.2.4. Payment receipt/transaction ID (if available)

12.2. The cancellation will be processed and confirmed within 3 business days. If

eligible, the refund (if any) will follow the Captain Subscription Refund Policy.

13. AUTO-RENEWAL TERMS

13.1. Monthly subscriptions may be auto renewed via card, UPI, or wallet.

13.2. Captain can disable auto-renewal by using the “My Subscription” section in

the Ryedr or by sending an email to: support@ryedr.com at least 48 hours

before renewal.

13.2.1. Ryedr Partner App or email support@ryedr.com with:

  • Full name and Captain ID
  • Subscription invoice and payment reference
  • Reason for refund request

13.2.2. Requests must be made within the designated refund window.

13.2.3. Ryedr will respond to all valid refund requests within 5 business days.

13.2.4. Approved refunds will be processed within 7–10 business days through

the original payment method.

14. FARE CALCULATION AS PER SERVICE TYPE

14.1. Base fare shall be fixed for the initial Km.

14.2. For the subsequent Km, a per Km rate shall be applicable.

14.3. A per min charge shall also be payable by the Rider based on travel duration.

14.4. Surge pricing shall be applicable based on demand-supply algorithm.

14.5. A fixed fee of the Total Ride Fee shall be deducted by Ryedr as Platform Fee.

14.6. GST & TDS will be included in the total ride amount, and same will be settled

in company account as per requirement.

15. CANCELLATION POLICY

15.1. Rider Cancellation

15.1.1. If the Rider cancels the Booking after 2 minutes of the Captain arriving

at the pickup spot or 5 minutes before the pickup, a partial payment Rs.

50 will be credited to Captain.

15.1.2. No partial payment shall be deducted if the Rider cancels the Booking

within 2 minutes of the Booking.

15.2. Captain Cancellation

15.2.1. The Captain is allowed to cancel only 5 Rides per day.

15.2.2. Excessive cancellations may lead to:

15.2.2.1. Temporary suspension

15.2.2.2. Lower Captain ratings

15.2.2.3. Platform penalties INR 50.

16. RATING SYSTEM

16.1. The Captain shall have the option to provide a rating and feedback about the

Rider on the App at the end of each journey.

16.2. Poor performance i.e. below 3.5 average rating may result in a warning which

can result in temporary suspension or permanent deactivation of the account of

the Captain.

17. COMMISSIONS, PAYOUTS & INCENTIVES:

17.1. Weekly payouts through bank transfer.

17.2. Platform deducts a commission percentage + applicable taxes.

17.3. Incentive (if any) may be given to the Captain by Ryedr from time to time. The

Incentives shall be determined after taking into consideration all dues, fines,

charges, interest, claims, costs, expenses etc. For the sake of clarity, both the

parties acknowledge and agree that the foregoing amounts are only for limited

purposes of arriving at the value of Incentives.

18. CONFIDENTIALITY

18.1. Confidential Information: Each party acknowledges and agrees that in the

performance of these T&C it may have access to or may be exposed to, directly

or indirectly, confidential information of the other party or third parties

(“Confidential Information”). Confidential Information includes Rider User

Information and the transportation volume, marketing and business plans,

business, financial, technical, operational and such other, non-public

information of each party (whether disclosed in writing or verbally) that such

party designates as being proprietary or confidential or of which the other party

should reasonably know that it should be treated as confidential. Confidential

Information does not include any information that: (a) was in the receiving

party’s lawful possession prior to the disclosure, as clearly and convincingly

corroborated by written records, and had not been obtained by the receiving

party either directly or indirectly from the disclosing party; (b) is lawfully

disclosed to the receiving party by a third party without actual, implied or

intended restriction on disclosure through the chain of possession, or (c) is

independently developed by the receiving party without the use of or access to

the Confidential Information, as clearly and convincingly corroborated by

written records.

18.2. Obligations. Each party acknowledges and agrees that: (a) all Confidential

Information shall remain the exclusive property of the disclosing party; (b) it

shall not use Confidential Information of the other party for any purpose except

in furtherance of these T&Cs; (c) it shall not disclose Confidential Information

of the other party to any third-party, except to its employees, officers,

contractors, agents and service providers (“Permitted Persons”) as necessary

to perform their obligations under this Agreement, provided Permitted Persons

are bound in writing to obligations of confidentiality and non-use of

Confidential Information no less protective than the terms hereof; and (d) it

shall return or destroy all Confidential Information of the disclosing party, upon

the termination of this Agreement or at the request of the other party; subject

to applicable law and our internal record-keeping requirements.

18.3. Remedies. The unauthorized use or disclosure of any Confidential Information

would cause irreparable harm and significant damages, the degree of which

may be difficult to ascertain. Accordingly, the parties have the right to obtain

immediate equitable relief to enjoin any unauthorized use or disclosure of

Confidential Information disclosed by the other party, in addition to any other

rights or remedies described below.

19. INDEMNITY

19.1. The Captain shall be solely liable for any and all accidents/incidents involving

the Vehicle, while providing the taxi Services. Ryedr shall not be held liable

for any such accidents/ incidents involving the Captain’s Vehicle.

19.2. All miscellaneous expenses pertaining to the Vehicle, such as maintenance

expenditures, penalty for violation of traffic rules, etc., shall be borne solely by

the Captain, and Ryedr shall not be held liable or responsible for the same.

20. TERMINATION & SUSPENSION

20.1. This Agreement becomes effective when you accept it and will continue until

ended by either you or us. You may choose to end this Agreement for any

reason by giving us at least 3 days’ written notice.

20.2. Ryedr is entitled to terminate these T&Cs at all times and with immediate

effect, at its sole discretion, (by disabling the Captain’s registration on the

Platform and use of the Platform) for any one or more of the following reasons:

20.3. Any violation or breach of any term of these T&Cs or non-compliance with the

requirements under applicable laws;

20.3.1. If the Captain, in the opinion of Ryedr, misuses the Platform; or

20.3.2. Where, in their opinion, continuance of the services of Captain is

detrimental to the business interest of Ryedr due to the acts of the Captain.

20.4. Ryedr may terminate these T&Cs immediately on the above grounds and is not

obliged to give notice of the termination of these T&Cs in advance.

20.5. Ryedr, in addition to its right to terminate these T&Cs, in its sole discretion

reserves the right to legally prosecute the Captain immediately, if there is

reason to believe that the Captain has indulged in any fraudulent activity or

contravened the T&Cs of the Platform or violated any applicable laws and

Ryedr will not be responsible for any consequences to the Captain arising from

the same.

20.6. Upon termination:

20.6.1. Captain will stop accessing the Platform; and

20.6.2. Captain will cease holding out as a ride service provider using with Ryedr’

Platform in any manner.

21. GOVERNING LAW AND DISPUTE RESOLUTION

21.1. These T&Cs will be governed by and interpreted in all respects in accordance

with the laws of India.

21.2. Subject to the provisions made herein, the parties hereby submit to the

exclusive jurisdiction of the courts of Delhi, India.

21.3. All disputes arising out of or in relation to these T&Cs will be settled amicably

by the parties. In the event, no amicable settlement is arrived at within a period

of 15 (fifteen) days from the date of first initiation of the dispute by one party

to other, the parties will resolve the dispute by means of arbitration pursuant

to the Arbitration and Conciliation Act, 1996.

21.4. The arbitration proceedings will be conducted by an arbitral tribunal

comprising of a sole arbitrator mutually appointed by you and Ryedr.

21.5. The arbitration proceedings will be conducted in English language only and

the seat for arbitration will be Delhi, India.

21.6. The award of the arbitral tribunal will be final and binding.

22. MISCELLANEOUS

22.1. You may not assign your rights under these T&Cs without prior written

approval of Ryedr. Ryedr may freely assign its rights and obligations without

prior notice to or consent from Captain.

22.2. These T&Cs may be amended from time to time and as and when required, at

the sole discretion of Ryedr. If Ryedr makes any changes to these T&Cs that

it deems to be material, Ryedr will make a reasonable effort to inform you of

such changes, but it is your responsibility to review the T&Cs posted to the

Platform from time to time to see if it has been changed. The updated version

of these T&Cs will supersede the current version, and such updated version

will be immediately effective upon being posted on the Platform. The

continued use of the Platform following the notification of modification of the

T&Cs or after being updated on the Platform will be construed to mean the

acceptance of the said modified T&Cs.

22.3. If any portion of these T&Cs are found to be unenforceable, the remaining

portion will remain in full force and effect.

22.4. Ryedr may give notice by means of a general notice on the Platform, or by

electronic mail to your email address on record in the Captain’s account

information, or by written communication sent by regular mail to the

Captain’s address on record in the Captain’s account information.
