1 Definitions
- “Company” means Prakydr Tech Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at SR07/01, SiyaRam Infra Co., 303, F-5, Purvi Ashok Nagar Sahkari Grih Nirman Samiti, Post - Bahadurpur Housing Colony, P.S. Patrakar Nagar, Vijay Nagar, Hanuman Nagar, Patna, Bihar 800020.
- “COA” / “Agent” / “Field Partner” means the independent contractor engaged by the Company under a Contractor Agreement to refer and onboard Captains, and to whom these Terms & Conditions apply.
- “Agent Code” means the unique code issued by the Company to an Agent for onboarding Captains under this Programme. It is distinct from the referral codes used under the Company’s separate referral programme for drivers and riders, which does not govern this Programme.
- “Captain” means a driver-partner (auto, bike-taxi, or cab) onboarded to the Ryedr platform using the Agent Code issued to that Agent.
- “Qualified Captain” means a Captain who satisfies the Activation Payout conditions set out in Clause 3.
- “Retained Captain” means a Qualified Captain who also satisfies the Retention Incentive conditions set out in Clause 3.
- “Onboarding Date” means the date on which a Captain’s KYC is approved on the Ryedr Captain App, following successful sign-up using the Agent Code issued to that Agent.
2 Eligibility & Programme Overview
The COA Programme engages independent field partners on a performance-linked basis to onboard high-quality, active Captains to the Ryedr platform. There is no fixed salary, retainer, or guaranteed minimum income under this Programme. Agents are engaged as independent contractors and not as employees, workers, or agents (in the legal sense of agency) of the Company.
- Agent must be 18 years or older and hold a valid government photo ID (Aadhaar / Voter ID / Passport) and PAN card.
- Agent must hold a unique, Company-issued Agent Code that is non-transferable and may not be shared, sold, or used by any third party.
- Agent must sign a Contractor Agreement (see accompanying Contract Letter) before any Agent Code is activated.
3 Compensation & Payout Structure
Payouts are performance-based and evaluated over a 90-day cycle measured from each Captain’s Onboarding Date, made up of three consecutive 30-day periods (Days 1–30, 31–60, and 61–90). Each payout is made in the Company’s next payout cycle after its evaluation date, structured as follows:

Illustration:
A Captain with 20 completed rides in Days 1–30, 35 in Days 31–60, and 35 in Days 61–90 (90 in total), and who meets the other conditions, earns the Agent ₹250 after Day 30 and a further ₹100 after Day 90. A Captain who completes fewer than 20 rides in Days 1–30 earns the Agent neither payout, regardless of rides completed later.
- All payouts are made by bank transfer (NEFT/IMPS/UPI) to the Agent’s registered bank account or UPI ID and are subject to Tax Deducted at Source (TDS) under Section 194H of the Income Tax Act, 1961. A TDS certificate will be issued as required by law.
- The Company reserves the right to withhold, delay, or adjust a payout pending fraud review, and to recover (“claw back”) any amount already paid in respect of a Captain subsequently found to have been fraudulently onboarded, as set out in Clause 5.
4 Agent Performance Requirement
- Agent is expected to onboard a minimum of 15 Qualified Captains per calendar month to remain in active status, with a target of 20 per month. A Qualified Captain counts towards the calendar month in which that Captain’s Onboarding Date falls, so a month’s count becomes final once Day 30 has passed for every Captain onboarded in that month.
- Where an Agent onboards fewer than 15 Qualified Captains in a month, payouts already earned for that month are paid in full and a written performance advisory is issued; no penalty or deduction is applied for the shortfall itself.
- Two consecutive calendar months below the minimum threshold entitles the Company to terminate the Contractor Agreement in accordance with its termination clause.
5 Fraud Prevention & Categorised Strike Policy
CATEGORY A Serious Offences (One-Strike Policy)
Includes: Fraud, illegal activity, fake or circular rides, same-device onboarding, self-referral, fake KYC documents, or direct Law & Order violations.
- Captain consequence: Immediate auto-block (permanent). Unblocking is not available through normal support channels and requires formal document/legal submission and Company review.
- Agent consequence: The Captain is marked “Fraud Onboarded” against the Agent’s profile; any payout already generated for that Captain is clawed back from the Agent’s current or upcoming payout cycle(s). Facilitation of fraudulent activity leads to immediate contract termination.
* Note: The counter-bidding demonstration video in the Captain App is an onboarding aid; not watching it is not a fraud offence. Agents and Captains are strongly encouraged to raise a dispute under Clause 6 before a Category A block is treated as final.
CATEGORY B Service Issues (Three-Strikes Policy)
Includes: Customer complaints, poor behaviour, minor ride cancellations, or other non-serious compliance issues.
- First and second occurrence: Temporary block, with reminders sent until corrective action is taken.
- Third occurrence: Permanent block.
6 Dispute Resolution & Clawback Appeal
An Agent who disputes a “Fraud Onboarded” marking or a clawback deduction may submit a written appeal to support@ryedr.com within 7 days of notification, stating the grounds and attaching supporting evidence. The Company will review and respond in writing within 15 business days. Pending the outcome of a timely appeal, the disputed amount will be held and not treated as finally forfeited.
7 Code of Conduct
- No Employment Misrepresentation: Never represent COA engagement, or Captain onboarding, as a “job”, “salary”, or permanent employment.
- No Guaranteed Income Claims: Never guarantee or promise a fixed monthly income to a prospective Agent or Captain; earnings must always be represented as performance-dependent and not guaranteed.
- Accurate Counter-Bidding Education: Encourage every onboarded Captain to watch the counter-bidding demonstration video available in the Captain App. Where the Agent explains counter-bidding to a Captain, do so accurately, including the anchor-price concept, the broadcast/shortlist stage, the exact move structure (up to 3 Captain bids, 2 Rider counters, and 1 binary decision), the Accept-Anytime option, the 1.8x fare ceiling, and the distinction between a “Declined” and an “Expired” outcome.
- Zero Joining Fee: Never accept, request, or facilitate any payment from a Captain or prospective Captain (zero joining fee policy).
- No Device or Identity Fraud: Never onboard a Captain using the Agent’s own device, family member’s documents, or any self-referral arrangement.
8 Confidentiality & Data Protection
Agent shall keep confidential all non-public Company information, including Agent Codes, payout structures, Captain personal data, and internal processes, and shall process Captain KYC documents only for the purpose of onboarding, in accordance with applicable data protection law (including DPDP Act, 2023). Notwithstanding the foregoing, the Agent may share the Agent Code issued to that Agent with Captains for the purpose of onboarding.
9 Regulatory Note
The Company shall comply with its statutory obligations, if and as applicable, under the Code on Social Security, 2020 and the rules made thereunder concerning gig workers, platform workers, and aggregators. This Programme’s independent-contractor structure does not affect any statutory entitlement that applicable law separately confers on Agents or Captains as gig/platform workers.
10 Amendment & Governing Law
The Company may amend these Terms & Conditions on written notice; continued participation in the Programme after notice constitutes acceptance. These Terms are governed by the laws of India, subject to the exclusive jurisdiction of the competent courts at Patna, Bihar.
